Change in Designated Partner. The LLP may appoint or remove a Designated Partner with the unanimous approval of all the partners. The proposed Designated partner should be eligible to be appointed as a Designated partner as per the relevant provisions of the LLP Act, 2008. The LLP shall at any given time have at least two designated partners one of whom shall be resident in India. In case no designated partner is appointed or the number of Designated Partners falls below two, then each partner shall be deemed to be a Designated Partner. Article 10

  • Change in Status ‌ In the event of any substantive change in its legal status, organizational structure, or fiscal reporting responsibility, Contractor will notify HCA of the change. Contractor must provide notice as soon as practicable, but no later than thirty (30) calendar days after such a change takes effect.

  • Membership Termination No Member may terminate its membership in the Sector 21 other than in accordance with this Section 12. A Member that has agreed to join the Sector prior to the 22 Effective Date may withdraw from Sector membership prior to the Effective Date without penalty or 23 prejudice. Thereafter, only a Member that is not in breach of this Agreement and that has no 24 outstanding Sector performance or payment obligations may terminate its membership in the Xxxxxx, 00 and may do so only in compliance with the terms and conditions of this Section 12. Notwithstanding the 26 foregoing, the Board may terminate the membership of a Member in breach of its payment or 27 performance obligations under this Agreement, as the Board deems appropriate in its sole discretion.

  • Active NFFE An “Active NFFE” means any NFFE that meets any of the following criteria:

  • General Partner (a) The business, property and affairs of the Partnership shall be managed under the sole, absolute and exclusive direction of the General Partner, which may from time to time delegate authority to officers or to others to act on behalf of the Partnership.

  • Unit Member Any employee of the Board of Education who is a member of the unit, including substitutes and home and hospital teachers.
