The Board of Managers shall update Schedule A from time to time as may be necessary to accurately reflect the agreements of the Members with respect to the information therein or to add any Additional Members admitted to the Company in accordance with this Agreement.
Such Additional Members, such additional classes of Units, or Units issued to existing Members shall (1) be entitled to such distributions and allocations in accordance with this Agreement and (2) dilute the existing Members’ Percentage Interests proportionately.
The Company shall not be dissolved by the admission of Additional Members or Substituted Members or the attempted withdrawal or resignation of a Member.
To the extent consistent with Section 706(d) of the Code and Treasury Regulations promulgated thereunder, the Company’s books may be closed at the time Additional Members are admitted (as though the Company’s tax year had ended) or the Company may credit to the Additional Members pro rata allocations of the Company’s income, gains, losses, deductions, credits, and items for that portion of the Company’s Fiscal Year after the effective date of the admission of the Additional Members.
The Company shall not be dissolved by the admission of Additional Members or substitute Members in accordance with the terms of this Agreement, or the withdrawal of a Member.
