Certificate Representing Satisfaction of Conditions. Central Jersey shall have delivered to OceanFirst a certificate of the Chief Executive Officer of Central Jersey dated as of the Closing Date as to the satisfaction of the matters described in Section 8.1 and Section 8.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of Central Jersey under Article 3 of this Agreement.
Certificate Representing Satisfaction of Conditions. HRB shall have delivered to GFH a certificate of the Chief Executive Officers of HRB dated as of the Effective Time of the Merger as to the satisfaction of the matters described in Sections 9.1 and 9.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of HRB under Article 4 of this Agreement.
Certificate Representing Satisfaction of Conditions. Sun ----------------------------------------------------- shall have delivered to Community a certificate dated as of the Effective Time of the Merger as to the satisfaction of the matters described in Section 9.1 and Section 9.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of Sun under Article 4 of this Agreement.
Certificate Representing Satisfaction of Conditions. Kearny shall have delivered to Central Jersey a certificate dated as of the Effective Time of the Merger as to the satisfaction of the matters described in Section 9.1 and Section 9.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of Kearny under Article 4 of this Agreement.
Certificate Representing Satisfaction of Conditions. North Penn shall have delivered to Xxxxxxx a certificate of the Chief Executive Officer of North Penn dated as of the Closing Date as to the satisfaction of the matters described in Section 8.1 and Section 8.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of North Penn under Article 3 of this Agreement.

EVBS shall have delivered to FCB a certificate of the Chief Executive Officers of EVBS dated as of the Effective Time of the Merger as to the satisfaction of the matters described in Sections 9.1 and 9.2 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of EVBS under Article 4 of this Agreement.

Sterling shall have delivered to Roma a certificate of the Chief Executive Officer of Sterling dated as of the Closing Date and without personal liability as to the satisfaction of the matters described in Sections 8.1 8.2, 8.8 and 8.9 hereof, and such certificate shall be deemed to constitute additional representations, warranties, covenants, and agreements of Sterling under Article 3 of this Agreement.
