Certificate of Existence. A certification of the Secretary of State (or other government authority) of the State of the Borrower's Incorporation or Organization as to the existence or good standing of the Borrower and its charter documents on file.
Certificate of Existence. On ten (10) days written notice from Landlord, Guarantor shall execute a certificate acknowledging and reaffirming this Guaranty, its continued existence and that it remains binding and in full force and effect.

Each Seller shall have delivered to the Purchasers a Certificate of Existence or Good Standing Certificate, dated not more than 10 days prior to the Closing Date and certified by the Secretary of State of (i) each Seller’s state of incorporation and (ii) states in which such Seller is qualified to do business as a foreign corporation, provided that, such foreign qualifications may be delivered by Sellers to the Purchasers within three (3) business days after the Closing Date.
Certificate of Existence. An updated Certificate of Existence issued by the Secretary of State of the Commonwealth of Kentucky and dated not more than thirty (30) days prior to the date of this Modification Agreement.
