Buyer’s Pension Plan. Buyer does not currently maintain a defined benefit pension plan for its employees. In the event Buyer subsequently establishes a defined benefit pension plan that is qualified under Section 401 of the Internal Revenue Code (“Buyer’s Pension Plan”) Buyer shall allow each Affected Employee to participate in such plan on the same terms as Buyer’s other similarly situated employees. “Same terms” shall be construed as recognizing service with the Seller for all purposes that Buyer recognizes prior service with it under the terms of such plan.

Buyer’s Pension Plan. (i) No later than the Hire Date, Buyers shall establish and maintain, or make provision for, a defined benefit pension plan that is qualified as soon as practicable following the Closing Date under Section 401 of the Internal Revenue Code (“Buyers’ Pension Plan”). Buyers’ Pension Plan shall not be amended in a manner inconsistent with this Section 11.2 or terminated prior to one year after the Hire Date.

Based on the latest valuation of each Guaranteed Pension Plan (which in each case occurred within twelve months of the date of this representation), and on the actuarial methods and assumptions employed for that valuation, the aggregate benefit liabilities of all such Guaranteed Pension Plans within the meaning of §4001 of ERISA did not exceed the aggregate value of the assets of all such Guaranteed Pension Plans, disregarding for this purpose the benefit liabilities and assets of any Guaranteed Pension Plan with assets in excess of benefit liabilities.

  • Normal Retirement Benefit Upon Termination of Employment on or after the Normal Retirement Age for reasons other than death, the Company shall pay to the Executive the benefit described in this Section 2.1 in lieu of any other benefit under this Agreement.

  • Retirement Benefit Should the Director still be in the Directorship ------------------ of the Association upon attainment of his 70th birthday, the Association will commence to pay him $590 per month for a continuous period of 120 months.   • Supplemental Retirement Benefit In addition to the foregoing, Executive shall be eligible to participate in the Supplemental Executive Retirement Plan maintained by Cleco Utility Group Inc. or such other supplemental retirement benefit plans which the Company or its Affiliates may adopt, from time to time, for similarly situated executives (the "Supplemental Plan").

  • Welfare, Pension and Incentive Benefit Plans During the Employment Period, the Executive (and his eligible spouse and dependents) shall be entitled to participate in all the welfare benefit plans and programs maintained by the Company from time to time for the benefit of its senior executives including, without limitation, all medical, hospitalization, dental, disability, accidental death and dismemberment and travel accident insurance plans and programs. In addition, during the Employment Period, the Executive shall be eligible to participate in all pension, retirement, savings and other employee benefit plans and programs maintained from time to time by the Company for the benefit of its senior executives.

  • Early Retirement Benefit If the Executive terminates employment after the Early Retirement Date but before the Normal Retirement Date, and for reasons other than death or Disability, the Bank shall pay to the Executive the benefit described in this Section 2.2.
