Common use of Bicycle Storage Area Clause in Contracts

Bicycle Storage Area. On or before the Rent Commencement Date, Landlord shall provide, for Tenant’s exclusive use, a secure facility on level 1 or level 3 of the Building’s parking garage (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “Bicycle Storage Area”). Motorized vehicles of any kind, including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than the permitted number of Bicycles. Each rider shall use the Bicycle Storage Area at is sole risk. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for the reasonable storage of fifty (50) bicycles) and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On or before Tenant (including employees and visitors of Tenant) shall have the Rent Commencement Datenon-exclusive right, Landlord shall provideon a first-come, for first-served basis, at no cost to Tenant’s exclusive use, a secure facility on level 1 or level 3 to utilize that portion of the Building’s parking garage (the “Garage”) (exact location within the Garage to be determined Common Areas designated by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage day use parking of up to fifty (50) operable nonmotorized Bicycles by tenants and occupants of the Building (the “Bicycle Storage Area”). Motorized Gas-powered motorized vehicles of any kindkind (but not including electric powered bicycles), including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than Bicycles, or the permitted storage of more than a de minimis number of BicyclesBicycles for more than seventy-two (72) hours in the Bicycle Storage Area (and any such Bicycles which are stored for longer than seventy-two (72) hours shall be subject to removal by Landlord in accordance with signage posted in the Bicycle Storage Area). Each rider shall use the Bicycle Storage Area at is sole risk. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for provided that no such action will materially diminish the reasonable storage capacity of fifty (50) bicycles) the Bicycle Storage Area on other than a temporary basis), and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On Subject to the terms of this Article 34, Tenant may install up to four (4) enclosed bicycle storage lockers located in an area approved by Landlord (which approval shall not be unreasonably withheld, conditioned or before the Rent Commencement Date, Landlord shall provide, for Tenant’s exclusive use, a secure facility on level 1 or level 3 of the Building’s parking garage delayed) (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “Bicycle Storage Area”) for the purpose of storing bicycles used by Tenant’s employees and otherwise in accordance with the terms of Article 9 of this Lease (including, without limitation, designating such Storage Area as a Required Removable). Motorized vehicles of In selecting the bicycle storage lockers to be installed by Tenant, Tenant shall select the smallest available lockers that will store up to 2 bicycles in each locker. Tenant shall not store any kind, including motorcycles items other than bicycles and mopeds, are prohibited related bicycle equipment in the Bicycle Storage Area, as nor shall Tenant store anything that is unsafe or otherwise may create a hazardous condition, or that may increase Landlord’s insurance rates, or cause a cancellation or modification of Landlord’s insurance coverage. Landlord shall not be liable for any theft or damage to any bicycles stored in the storage of any property other than Storage Area, it being understood that Tenant is using the permitted number of Bicycles. Each rider shall use the Bicycle Storage Area at is sole its own risk. Landlord specifically reserves Tenant shall be responsible for maintaining the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for the reasonable storage of fifty (50) bicycles) and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the Upon expiration or earlier termination of the Term, Tenant shall completely vacate and surrender the Storage Area to Landlord (and the bicycle storage lockers located therein shall remain in place), empty of all stored items placed therein by or on behalf of Tenant. All terms and provisions of this Lease shall be applicable to the Storage Area, including, without limitation, Articles 14 (Indemnification), and 15 (Insurance), except that Landlord need not supply any services to the Storage Area and the Storage Area shall not be part of the “Premises” for purposes of calculating the rentable square footage of the Premises or Tenant’s Share. Tenant agrees that Landlord shall not be liable therefor and that the availability or non-availability of the Storage Area as a result of any applicable Laws and Tenant’s right to use the Storage Area shall not affect any of Tenant’s other obligations under this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On or before the Rent Commencement Date, Landlord shall provide, for Tenant’s employees shall have the non-exclusive useright, on a secure facility on level 1 or level 3 first come, first served basis, at no cost to Tenant, to utilize that portion of the Building’s parking garage (the “Garage”) (exact location within the Garage to be determined designated by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage parking of up to fifty (50) operable nonmotorized non-motorized Bicycles by Tenant’s employees and invitees (the “Bicycle Storage Area”). Motorized vehicles of any kind, including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than the permitted number of Bicycles. Each rider shall use the Bicycle Storage Area at is his or her sole risk. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for provided that no such action will materially diminish the reasonable storage capacity of fifty (50) bicycles) the Bicycle Storage Area on other than a temporary basis), and Tenant acknowledges and agrees that Landlord may, upon no less than one (1) business day’s prior written notice (except in the event of an emergency, where no prior notice shall be required), without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. It is further understood and agreed that, if necessary in order to comply with any local or governmental rules and regulations relating to transportation or environmental considerations, Landlord and Tenant will work together to accommodate any required increase in the Bicycle Storage Area. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable the First Class Buildings. Notwithstanding the foregoing, except to the extent arising out of the negligence or willful misconduct of Landlord, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any personperson not authorized to enter the Project. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On or before The Parking Facilities include a secured bicycle storage area that will accommodate at least two hundred (200) Bicycles (collectively, the Rent Commencement Date“Landlord Bicycle Storage Area”). Tenant shall have the non-exclusive right (at no additional charge other than Tenant’s Share of Direct Expenses relating thereto) to use the Landlord Bicycle Storage Area for day use parking of Bicycles by Tenant and Tenant’s employees, visitors, invitees and sublessees not to exceed Xxxxxx’s pro rata share (which is presently 40 based on the Landlord Bicycle Storage presently accommodating up to 228 Bicycles) of the number of Bicycles that the Landlord Bicycle Storage Area from time to time accommodates (which shall providenot be less than 200 Bicycles), and Tenant shall also have the right, at Tenant’s sole cost and expense, to convert certain areas of the Parking Facilities, reasonably designated by Landlord and approved by Tenant, for Tenant’s additional exclusive use, a secure facility on level 1 or level 3 of the Building’s day use parking garage (the “GarageTenant Bicycle Storage Area”) for Bicycles by Tenant and its employees, visitors, invitees and sublessees, which shall include the installation of Bicycle storage lockers or other Bicycle storage facilities, installed as an Alteration (exact location within the Garage to be determined by “Bicycle Improvements”). The Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (Bicycle Storage Area and Tenant Bicycle Storage Area are collectively, the “Bicycle Storage Area”). Other than the Bicycle Storage Area, Tenant and Tenant’s employees, visitors, invitees and sublessees shall not be entitled to use any secured bicycle storage areas at the Project, and Tenant’s employees shall not be permitted to bring their Bicycles in the Premises. Motorized vehicles of any kind, including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than the permitted number of Bicycles. Each rider shall use the Bicycle Storage Area at is its sole risk. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Landlord Bicycle Storage Area at any time (so long as it is sufficient for provided that no such action will materially diminish the reasonable storage capacity of fifty (50) bicycles) the Landlord Bicycle Storage Area on other than a temporary basis), and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.15.3.1. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Landlord Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On or before Subject to the Rent provisions of this Section 28.2, so long as this Lease remains in effect, commencing as of the Phase I Premises Lease Commencement DateDate and continuing throughout the Lease Term, Landlord shall provide, for Tenant’s exclusive use, provide a secure facility on level 1 or level 3 of storage area in the Building’s parking garage (the “Garage”) (exact location within the Parking Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “Bicycle Storage Area”). Motorized vehicles In no event shall Landlord reduce the total bicycle parking capacity available in the Bicycle Storage Area during the Term of this Lease to be less than the amount of bicycle parking available as of the Effective Date. Tenant's employees shall be entitled to use the Bicycle Storage Area on an un-reserved, first-come, first served basis at no additional cost to Tenant. The use of the Bicycle Storage Area shall be subject to the reasonable rules and 104 regulations (including rules regarding hours of use) established from time to time by Landlord, in its reasonable discretion, and/or by the operator of the Parking Garage, and shall be further subject to compliance with the Building’s standard security procedures. Landlord may refuse to permit any kind, including motorcycles person who violates such rules and mopeds, are prohibited in regulations to use the Bicycle Storage Area, as is and any violation of the storage of any property other than rules and regulations shall subject the permitted number of Bicycles. Tenant acknowledges that the Bicycle Storage Area may be closed entirely or restrict access in part in order to make repairs or perform maintenance services, or to alter, modify or renovate the Building or the Bicycle Storage Area, if required by casualty, strike, condemnation, act of God, governmental law or requirement or other reason beyond Landlord’s reasonable control or for any other reason whatsoever. No expansion, contraction, elimination, unavailability or modification of the Bicycle Storage Area, and no termination of or interference with Tenant’s rights to the Bicycle Storage Area for purposes Area, shall entitle Tenant to an abatement or reduction in Rent or constitute a constructive eviction or an event of permitting or facilitating any such constructiondefault by Landlord under this Lease; provided, alteration or improvements. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area shall be at the sole risk of Tenant and any Tenant Parties and neither Landlord nor any Landlord Parties shall have any liability for any personal injury or damage to or theft of any person. Upon the expiration bicycles or earlier termination of this Leaseother property occurring in, Tenant shall have removed all Bicycles belonging to its employees from on or about the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to or otherwise in connection with any use of the Bicycle Storage Area caused by Tenant or any Tenant Parties (collectively, “Bike Storage Area Claims”) except to the removal extent such Bike Storage Area Claims arise directly from or are the direct result of Tenant’s property therefromthe gross negligence or willful misconduct of Landlord or any Landlord Party. The costs of operating, maintaining and if Tenant fails to repair such damage, Landlord may undertake such repair on account repairing the Bicycle Storage Area shall be included as part of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretionOperating Expenses.

On or before Tenant shall have the Rent Commencement Datenon-exclusive right, Landlord shall provide, at no additional separate charge for Tenant’s exclusive use, to use on a secure facility on level 1 or level 3 first-come, first-served basis to utilize the existing bicycle storage area located in the basement of the Building’s Building designated by Landlord for the parking garage of operable non-motorized bicycles by tenants and occupants of the Building (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “"Bicycle Storage Area”"). No overnight storage of bicycles shall be permitted. The cost and expenses of repair and maintenance of the Bicycle Storage Area shall be included in Operating Costs. Motorized vehicles of any kind, including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than the permitted number of Bicyclesbicycles. Each rider shall use the Bicycle Storage Area at is sole risk. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for provided that no such action will materially diminish the reasonable storage capacity of fifty (50) bicycles) the Bicycle Storage Area on other than a temporary basis), and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this the Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1Area. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination of this the Lease, Tenant shall have removed all Bicycles bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s 's sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s 's property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repair. If Tenant fails to remove any Bicycles bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles bicycles in such lawful manner as it shall determine in its sole and absolute discretion. Each of the employees of Tenant continued right to use the Bicycle Storage Area shall be conditioned upon such employee abiding by all reasonable rules and regulations which are prescribed from time to time for the orderly operation and use of the Bicycle Storage Area.

Bicycle Storage Area. On or before Tenant (including employees, contractors and visitors of Tenant) shall have the Rent Commencement Datenon-exclusive right, Landlord shall provideon a first-come, for first-served basis, at no cost to Tenant’s exclusive use, a secure facility on level 1 or level 3 to utilize that portion of the Building’s Parking Facilities (containing storage for approximately 37 typical sized bicycles) designated by Landlord for the day use parking garage of operable Bicycles by tenants and occupants of the Building at no additional cost (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “"Bicycle Storage Area”"). Motorized Gas-powered motorized vehicles of any kindkind (but not including electric powered bicycles), including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than Bicycles, or the permitted storage of more than a de minimis number of BicyclesBicycles for more than seventy-two (72) hours in the Bicycle Storage Area (and any such Bicycles which are stored for longer than seventy-two (72) hours shall be subject to removal by Landlord in accordance with signage posted in the Bicycle Storage Area). Each rider shall use the Bicycle Storage Area at is sole risk. Subject to compliance with Landlord's access control procedures and Applicable Laws, and except when and where Tenant's right of access is specifically restricted or limited in this Lease, Tenant shall have the right of reasonable access control services for the Bicycle Storage Area to allow Tenant’s employees to access the Bicycle Storage Area with their Bicycles after the ordinary hours of business for the Building, twenty-four (24) hours per day, seven (7) days per week during the Lease Term. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout and all other aspects of the Bicycle Storage Area at any time (so long as it is sufficient for provided that no such action will materially diminish the reasonable storage capacity of fifty (50) bicycles) the Bicycle Storage Area on other than a temporary basis), and Tenant acknowledges and agrees that Landlord may, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time to time, temporarily close-off or restrict access to the Bicycle Storage Area for purposes of permitting or facilitating any such construction, alteration or improvementsimprovements upon prior written notice to Tenant. Landlord shall provide twenty-four (24) hours per day, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, Landlord shall in no case be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person. Upon the expiration or earlier termination terms of this LeaseArticle XXXI, Tenant shall have removed all Bicycles belonging to its employees from the Bicycle Storage Area and Tenantright to, at Tenant’s sole cost and expense, demolish the shed depicted on Exhibit A attached hereto and install up to twelve (12) bicycle storage locker (the “Bicycle Locker”) to store bicycles used by Tenant’s employees. The demolition work and installation of the Bicycle Locker shall repair be performed by Tenant in accordance with the terms of Article IX of this Lease. The Bicycle Locker and all demolition, construction and other alterations performed in connection therewith shall be subject to Landlord’ prior written approval, which shall not be unreasonably withheld. Tenant shall not store any items other than bicycles and related bicycle equipment in the Bicycle Locker, nor shall Tenant store anything that is unsafe or otherwise may create a hazardous condition, or that may increase Landlord’s insurance rates, or cause a cancellation or modification of Landlord’s insurance coverage. Landlord shall not be liable for any theft or damage to any bicycles stored in the Bicycle Storage Area caused by Locker, it being understood that Tenant will be using the removal of Bicycle Locker at its own risk. Tenant shall be responsible for maintaining the Bicycle Locker at Tenant’s property therefrom, sole cost and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon demand the cost of such repairexpense. If Tenant fails to remove any Bicycles at the Upon expiration or earlier termination of the Term, Tenant shall completely vacate and surrender the Bicycle Locker to Landlord, empty of all stored items placed therein by or on behalf of Tenant. All terms and provisions of this Lease shall be applicable to the Storage Area, including, without limitation, Articles XIV (Indemnification), and XV (Insurance), except that Landlord need not supply any services to the Bicycle Locker and such area shall not be part of the “Premises” for purposes of calculating the rentable square footage of the Premises. Tenant agrees that Landlord shall not be liable therefor and that the availability or non-availability of the Bicycle Locker as a result of any applicable Laws and Tenant’s right to install and use the Bicycle Locker shall not affect any of Tenant’s other obligations under this Lease, Landlord may dispose of said Bicycles in such lawful manner as it shall determine in its sole and absolute discretion.

Bicycle Storage Area. On or before Tenant shall have the Rent Commencement Datenon-exclusive right, Landlord shall provideat no additional cost to Tenant, for Tenant’s exclusive use, a secure facility on level 1 or level 3 to utilize that portion of the Building’s parking garage (the “Garage”) (exact location within the Garage to be determined designated by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage parking of up to fifty (50) operable nonmotorized Bicycles non-motorized bicycles by tenants and occupants of the Building (the “Bicycle Storage Area”), which Bicycle Storage Area shall (a) be non-exclusive for each tenant of the Building, and (b) be of a size to reasonably accommodate at least sixty (60) bicycles, with sufficient locker or rack space to safely secure each bicycle. Motorized vehicles of any kind, including motorcycles and mopeds, are prohibited in the Bicycle Storage Area, as is the storage of any property other than the permitted number of Bicyclesbicycles. Each rider shall use Overnight parking of bicycles in the Bicycle Storage Area at is sole riskprohibited. Landlord specifically reserves the right to reasonably change the location, size, configuration, design, layout size and all other aspects configuration of the Bicycle Storage Area at any time, and to temporarily close-off or restrict access to the Bicycle Storage Area from time (so long as it is sufficient for to time in connection with repairs or improvements at the reasonable storage of fifty (50) bicycles) and Tenant acknowledges and agrees that Landlord mayProject, without incurring any liability to Tenant and without any abatement of Rent under this Lease, from time . In addition to time, temporarily close-off or restrict access Tenant’s right to use the Bicycle Storage Area for purposes Area, Tenant’s employees shall have the right to bring their bicycles into the Premises, subject to the following terms and conditions: (i) bicycles may only enter and exit the Premises via the Building’s freight elevator and not through the main lobby of permitting or facilitating the Building; (ii) Landlord shall have the right to reasonably designate the path of travel that Tenant’s employees must follow to and from the Premises and the freight elevator; (iii) during such time as bicycles are within the Premises, all bicycles must be stored in a designated bicycle area; and (iv) in no event shall Tenant permit more than ten (10) bicycles per floor of the then-existing [535 Mission Street] Premises to be located within the Premises at any such construction, alteration or improvementsone time. Landlord has shall have no obligation to provide any security whatsoever in connection with the Bicycle Storage Area except as expressly set forth in this Section 5.4.1. Landlord shall provide twenty-four (24) hours per dayArea, seven (7) days per week, reasonable access control services for the Bicycle Storage Area in a manner materially consistent with the services provided by landlords of Comparable Buildings. Notwithstanding the foregoing, and Landlord shall in no case event be liable for personal injury or property damage for any error with regard to the admission to or exclusion from the Bicycle Storage Area of any person; provided, however, that the Bicycle Storage Area shall be part of the controlled-access portion of the garage of the Building and shall not be publicly accessible. Upon the expiration or earlier termination of this Lease, Tenant shall have removed all Bicycles bicycles belonging to its employees from the Bicycle Storage Area and Tenant, at Tenant’s sole cost and expense, shall repair all damage to the Bicycle Storage Area caused by the removal of Tenant’s property therefrom, and if Tenant fails to repair such damage, Landlord may undertake such repair on account of Tenant and Tenant shall pay to Landlord upon within thirty (30) days after demand the cost of such repair. If Tenant fails to remove any Bicycles bicycles at the expiration or earlier termination of this Lease, Landlord may dispose of said Bicycles bicycles in such lawful manner as it shall determine in its sole and absolute discretionaccordance with Applicable Laws.

Bicycle Storage Area. On or before Subject to the Rent Commencement Dateprovisions of this Section 29.45, Landlord shall provideso long as this Lease remains in effect and Landlord, for Tenant’s exclusive use, a secure facility on level 1 or level 3 of the Building’s parking garage (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable sole and absolute discretion) , provides a storage area for bicycles in the Project parking structure for tenants of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles Building (the “Bicycle Storage Area”), Tenant’s employees shall be entitled to use the unsecured Bicycle Storage Area on an un-reserved, first-come, first served basis during the Lease Term. Motorized vehicles The use of any kindthe Bicycle Storage Area shall be subject to the rules and regulations (including rules regarding hours of use) established from time to time by Landlord and/or by the operator of the parking structure, including motorcycles and mopeds, are prohibited shall be further subject to compliance with the Building’s standard security procedures. Bicycles shall not be stored overnight in the Bicycle Storage Area, as is the storage of . Landlord may refuse to permit any property other than the permitted number of Bicycles. Each rider shall person who violates such rules and regulations to use the Bicycle Storage Area at is Area, and any violation of the rules and regulations shall subject the bicycle to removal from the Bicycle Storage Area. Notwithstanding the foregoing, in the event Landlord determines in its sole risk. Tenant hereby acknowledges that the Bicycle Storage Area is unsecured and that the use of the Bicycle Storage Area shall be at the sole risk of Tenant and any Tenant Parties and neither Landlord nor any Landlord Parties shall have any liability for any personal injury or damage to or theft of any bicycles or other property occurring in, on or about the Bicycle Storage Area or otherwise in connection with any use of the Bicycle Storage Area by Tenant or any Tenant Parties. Tenant hereby waives all claims against Landlord and the Landlord Parties relating to the Bicycle Storage Area for purposes and the use thereof by Tenant or any Tenant Parties. Tenant’s indemnity obligations pursuant to Section 10.1 of permitting or facilitating any such construction, alteration or improvements. Landlord has no obligation this Lease shall apply to provide any security whatsoever in connection with the use of the Bicycle Storage Area except as expressly set forth in this Section 5.4.1by Tenant or any Tenant Parties. On or before Subject to the Rent Commencement Dateterms of this Article 40, Landlord shall provide, for Tenant may install a bicycle storage area to store bicycles used by Tenant’s exclusive use, a secure facility on level 1 or level 3 employees located in an area approved by Landlord that is within reasonable walking distance of the Building’s parking garage Building (which approval shall not be unreasonably withheld, conditioned or delayed) (the “Garage”) (exact location within the Garage to be determined by Landlord in Landlord’s reasonable discretion) of a reasonable size to allow for the storage of up to fifty (50) operable nonmotorized Bicycles (the “Bicycle Storage Area”) and otherwise in accordance with the terms of Article 9 of this Lease (including, without limitation, designating such Storage Area as a Required Removable).
