Common use of Benefits - In General Clause in Contracts

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other similarly situated senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs. During the Term, the Company shall maintain customary liability insurance for trustees and officers and list the Executive as a covered officer.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit relocation programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives (except as otherwise provided in this Section 3), in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Except with respect to benefits of a type otherwise provided for under Section 3.4, Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives (except as otherwise provided in this Section 3), in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Except with respect to benefits of a type otherwise provided for under Section 3.5, the Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be are available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or and disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Except with respect to benefits of a type otherwise provided for under Section 3.6, the Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be are available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive equity-based plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits (but not stock option or other equity-based plans, which are provided for under Section 3.4) that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programs, 401(k) and other supplemental executive retirement plans, fringe benefit programs plan and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits other benefits, including employer 401(k) matching benefit, that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or and disability insurance plans, health programs, equity incentive plans, long-term longterm incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and profit sharing plans and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive stock option plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programssalary reviews, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be (other than bonuses and stock options or other equity-based compensation, which are provided for under Section 3.3 and 3.4 hereof, or severance, displacement or other similar benefits) which are of a type available (currently or in the future) from time to time to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives executive officers of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plansplan, health programsprogram, equity incentive plans, long-term incentive programspension and profit sharing plan, 401(k) and other retirement plansplan, fringe benefit programs relocation program and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives (except as otherwise provided in this Section 3), in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive retirement plans, long-term incentive programs, 401(k) and other retirement 401k plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programssalary reviews, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be (other than bonuses and stock options or other equity-based compensation, which are provided for under Section 3.3 and 3.4, or severance, displacement or other similar benefits) which are of a type available (currently or in the future) from time to time to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs, which plans and programs shall generally provide a level of benefits that is at least as favorable as the benefits provided by the Company on the date hereof.

Benefits - In General. The Executive shall be permitted during his employment with the Term Company to participate in any group life, hospitalization or disability insurance plansplan, health programsprogram, equity incentive plans, long-term incentive programspension and profit sharing plan, 401(k) and other retirement plansplan, fringe benefit programs relocation program and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs. Without limiting any other provisions of this Agreement, the obligations of the Company under Section 6.11 of the Merger Agreement shall be applicable to the Executive under this Agreement.

Benefits - In General. The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits or insurance plans that may be available (currently or in the future) to other senior executives of the Company generally, generally in each case to the extent that the Executive is eligible under accordance with the terms of such plans or programs.

The Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs, which plans and programs shall generally provide a level of benefits that is at least as favorable as the benefits provided by the Company on the date hereof.

Benefits - In General. The During the Term, the Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits or insurance plans that may be available (currently or in the future) to other senior executives of the Company generally, CombinedCo generally in each case to the extent that the Executive is eligible under accordance with the terms of such plans or programsprograms as in effect from time to time.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other senior executives members of executive management of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.or

Benefits - In General. The Except with respect to benefits of a type otherwise provided for under Section 3.4, the Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs. Executive shall be provided vacation benefits pursuant to Company policy.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, medical, dental, vision and other health programs, equity incentive plans, long-term incentive programs, 401(k) retirement savings plan, pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The In accordance with policies applicable to all Company employees with respect to benefits contribution, Executive shall be permitted during the Term to participate in any the group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programssalary reviews, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be (other than bonuses and stock options or other equity-based compensation, which are provided for under Section 3.3 and 3.4 hereof, or severance, displacement or other similar benefits) which are of a type available (currently or in the future) from time to time to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits and perquisites that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programsprograms (collectively, the “Benefits Plans”).

Benefits - In General. The Executive shall be permitted during the Term to participate in in, and the Company shall, to the extent permitted under the following plans and programs, waive any waiting period with respect to, any group life, hospitalization or disability insurance plans, health programs, equity incentive equity-based plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits other benefits, including employer 401(k) matching benefit, that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs. Without limiting any other provision of this Agreement, the obligations of the Company under Section 6.11 of the Merger Agreement shall be applicable to the Executive under this Agreement.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive retirement plans, long-term incentive programs, 401(k) and other retirement 401k plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other 2 retirement plans, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to on the extent that the Executive is eligible under the same terms of as such plans or programsother executives.

Benefits - In General. The In accordance with policies then applicable to all Company employees with respect to benefits contribution, Executive shall be permitted during the Term to participate in any the group life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programssalary reviews, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be (other than bonuses and stock options or other equity-based compensation, which are provided for under Section 3.3 and 3.4 hereof, or severance, displacement or other similar benefits) which are of a type available (currently or in the future) from time to time to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) pension and other retirement plans, fringe benefit programs profit sharing plans and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs. However, nothing herein shall prevent the Company, in its sole and absolute discretion, from amending, changing and/or terminating any benefit policies or plans offered.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar other benefits that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs. Without limiting any other provision of this Agreement, the obligations of the Company under Section 6.11 of the Merger Agreement shall be applicable to the Executive under this Agreement.

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits retirement plans that may be available (currently or in the future) to other senior executives of the Company generally, in each case to the extent that the Executive is eligible under the terms of such plans or programs. The Executive will no longer participate in the Company’s incentive program for development projects and is not eligible to receive an annual incentive bonus for performance or any other bonus (other than as specified in Section 3.4).

Benefits - In General. The Executive shall be permitted during the Term to participate in any group life, hospitalization or disability insurance plans, medical, dental, vision and other health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs savings plan and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

Benefits - In General. The Executive shall be permitted during her employment with the Term Company to participate in any group life, hospitalization or disability insurance plansplan, health programsprogram, equity incentive plans, long-term incentive programspension and profit sharing plan, 401(k) and other retirement plansplan, fringe benefit programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted entitled during the Term to participate in any group life, hospitalization or disability insurance plans, health programs, equity incentive plans, long-term incentive programs, 401(k) and other retirement plans, fringe benefit programs and similar benefits that may be are available (currently or in the future) to other senior executives of the Company generally, on the same terms as such other executives, in each case to the extent that the Executive is eligible under the terms of such plans or programs.

The Executive shall be permitted during the Term Term, and any renewal Term, to participate in any group medical, life, hospitalization or disability insurance plans, health programs, equity incentive pension and profit sharing plans, long-term incentive programs, 401(k) and other retirement plansplan, fringe benefit relocation programs and similar benefits that may be available (currently or in the future) to other senior executives of the Company generally, on the same terms as may be applicable to such other executives (except as otherwise provided in this Section 3), in each case to the extent that the Executive is eligible under the terms of such plans or programs.. 3.4
