Common use of Authorized Employees Clause in Contracts

Authorized Employees. Any Authorized Employee of the Company may submit a Notice on behalf of the Company as to any of the Credit Facilities. The Agent and each Lender shall be entitled to rely conclusively on each Authorized Employee's authority to submit a Notice on behalf of the Company until the Agent receives written notice from the Company to the contrary. The Agent shall have no duty to verify the authenticity of the signature appearing on any written Notice and, with respect to an oral Notice, the Agent shall have no duty to verify the identity of any Person representing himself as one of the Authorized Employees entitled to make such a request on behalf of the Company.
