Authority’s Conditions Precedent to the Closing. Authority’s obligations to make the Authority Subordinate Loan and the commencement of the Term and effectiveness of the Ground Lease for the Site, are each subject to the fulfillment by Developer (or written waiver by Authority) of each and every one of the Conditions Precedent (a) through (o), inclusive, described below, which are solely for the benefit of Authority, and which shall be fulfilled by Developer or waived by Authority within the time periods provided herein:
