Approval of Proceedings. All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Investor and its special counsel, Xxxxxxx Xxxx & Xxxxxxxxx; and the Investor shall have received copies of all documents or other evidence which it and Xxxxxxx Xxxx & Xxxxxxxxx may reasonably request in connection with such transactions and of all records of corporate proceedings in connection therewith in form and substance reasonably satisfactory to the Investor and Xxxxxxx Xxxx & Xxxxxxxxx.
Approval of Proceedings. All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Company. The Company shall have received copies of all documents or other evidence which it may have reasonably requested in connection therewith in form and substance reasonably satisfactory to the Company.
Approval of Proceedings. All actions, proceedings, instruments, and documents required to carry out this Agreement, or incidental thereto, and all other related legal matters shall have been approved by counsel for the Buyer.

All proceedings to be taken in connection with the transactions contemplated by the Operative Documents, the Registration Rights Agreement, the Co-Investment Agreement and the other Preferred Instruments and all documents incident thereto, shall be satisfactory in form and substance to the Investors and their counsel; and the Investors shall have received copies of all documents or other evidence which they and such counsel may request in connection with such transactions and of all records of corporate proceedings in connection therewith in form and substance satisfactory to the Investors, and their counsel.

All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be satisfactory in form and substance to Investment Manager or Lender and their counsel; and Investment Manager shall have received copies of all documents or other evidence which they and their counsel may request in connection with such transactions and of all records of corporate proceedings in connection therewith in form and substance satisfactory to Investment Manager or Lender and their counsel.

All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to the Investors and its counsel, Kleinberg, Kaplan, Xxxxx & Xxxxx, P.C. The Investors shall have received copies of all documents or other evidence which it may reasonably request in connection with such transactions in form and substance reasonably satisfactory to the Investors.

All proceedings to be taken in connection with the transactions contemplated by this Agreement, and all documents incident thereto, shall be reasonably satisfactory in form and substance to ZGNA and its counsel, Xxxxxxx Xxxx & Xxxxxxxxx; and ZGNA shall have received copies of all documents or other evidence which it and Xxxxxxx Xxxx & Xxxxxxxxx may request in connection with such transactions and of all records of corporate proceedings in connection therewith in form and substance satisfactory to ZGNA and Xxxxxxx Xxxx & Xxxxxxxxx.
