Application of Asphalt Concrete. On this Contract, Asphalt Concrete Material shall be applied as follows:  For South Side Harbour Road from Stations 60+000 to 00+000, Xxxxx Xxxxx Xxxx and Temporary detours. An initial course of Asphalt Mix Type B-HF PG58-28 (EPS) shall be applied at a rate of 115 kg/m2 (plus 10% tolerance) and an surface course of Asphalt Mix Type C-HF PG58-28 (EPS) shall be applied at a rate of 110 kg/m2 (plus 10% allowable tolerances), or as otherwise directed by the Engineer  For South Side Harbour Road from Stations 61+208 to 61+430,Xxxxxx Road, Trunk 4 Realignment and Trunk 4 Re-establishment.   • Application of Assets Upon dissolution of the Company, the Company shall cease carrying on its business and affairs and shall commence winding up of the Company’s business and affairs and complete the winding up as soon as practicable. The Company’s affairs shall be concluded by the Managers. The assets of the Company may be liquidated or distributed in kind, as determined by the Managers, and the same shall first be applied to the satisfaction (whether by payment or the making of reasonable provision for payment) of the Company’s liabilities and then to the Members. If the assets of the Company shall not be sufficient to pay all of the liabilities of the Company, to the fullest extent permitted by law, no assets of the Company may be sold or disposed of without the written consent of all of the holders of outstanding Securities. To the extent that Company assets cannot either be sold without undue loss or readily divided for distribution in kind to the Members, then the Company may, as determined by the Managers, convey those assets to a suitable holding entity established for the benefit of the Members in order to permit the assets to be sold without undue loss and the proceeds thereof, subject to the Act, distributed to the Member at a future date. The legal form of the holding entity, the identity of the trustee or other fiduciary and the terms of its governing instrument shall be determined by the Managers.

The foregoing provisions of this Section 11 shall similarly apply to successive reorganizations, reclassifications, mergers, consolidations or disposition of assets.

  • Replacement of Lost Investments In the event of a loss of Investments for which the Custodian is responsible under the terms of this Agreement, the Custodian shall replace such Investment, or in the event that such replacement cannot be effected, the Custodian shall pay to the Fund the fair market value of such Investment based on the last available price as of the close of business in the relevant market on the date that a claim was first made to the Custodian with respect to such loss, or, if less, such other amount as shall be agreed by the parties as the date for settlement.
