Amendment to Original Loan Agreement. Effective as of the date above, the Original Loan Agreement is hereby amended as follows:

Amendment to Original Loan Agreement. Section 1.1 Section 7.4 of the Original Loan Agreement is hereby deleted in its entirety and the following is substituted therefor: “Merge or consolidate with any Person, or, acquire all or substantially all of the assets or any of the capital stock or other equity interests of any Person unless (a) a Borrower is the surviving entity, (b) no Default or Event of Default exists or will occur after giving effect thereto, and (c) the approval of the stockholders of HCRI is not required under Section 312.03(c) of the New York Stock Exchange’s Listed Company Manual or any successor provision of such manual.”
Amendment to Original Loan Agreement. Borrower and Lender hereby agree that the Original Loan Agreement is hereby amended and restated in its entirety as follows:
Amendment to Original Loan Agreement. On the Effective Date, Exhibit A to the Original Loan Agreement shall be replaced in its entirety with Exhibit A attached hereto.
