Administrator’s Powers. The Administrator shall have all of the powers set forth in the Plan, including, without limitation, the power to construe the terms of this Agreement and the Plan and to make all other determinations and perform all other acts necessary or advisable for administering the Plan. Any determination made by the Administrator shall be final, binding and conclusive on the Holder.

Administrator’s Powers. The Administrator shall have the exclusive right to interpret, construe, and administer this Agreement. The Administrator shall have the authority to make determinations provided for or permitted to be made under this Agreement, to interpret this Agreement, and to promulgate such rules and regulations, if any, as the Administrator considers necessary and appropriate. The Administrator’s powers include, but are not limited to, the right to select the persons who are eligible to receive benefits under this Agreement, and the ability to act in all matters pertaining to the granting of such benefits and the contents of each Executive’s Joinder Agreement evidencing his benefits. All acts, determinations, and decisions by the Administrator made or taken pursuant to grants of authority under this Agreement or with respect to any questions arising in connection with the administration, interpretation, and application of this Agreement, including the severability of any and all of the provision thereof, shall be conclusive, final and binding upon all Executives, and their spouses and beneficiaries.

  • Administrators The Administrator may employ one or more sub-administrators from time to time to perform such of the acts and services of the Administrator and upon such terms and conditions as may be agreed upon between the Administrator and such sub-administrators and approved by the Trustees of the Fund, all as permitted by the Investment Company Act of 1940.

  • Arbitrator's Powers The arbitrator shall have no power to render a decision that will add to, subtract from or alter, change or modify the terms of this Agreement, and his/her power shall be limited to interpretation or application of the express terms of this Agreement, and all other matters shall be excluded from arbitration.   • Administrator Duties The Administrator has a duty to perform or observe all tasks to be performed or observed by the Administrator contained in this Agreement or otherwise.

  • Administrator Authority The Administrator will have the power to interpret the Plan and this Award Agreement and to adopt such rules for the administration, interpretation and application of the Plan as are consistent therewith and to interpret or revoke any such rules (including, but not limited to, the determination of whether or not any Restricted Stock Units have vested). All actions taken and all interpretations and determinations made by the Administrator in good faith will be final and binding upon Participant, the Company and all other interested persons. No member of the Administrator will be personally liable for any action, determination or interpretation made in good faith with respect to the Plan or this Award Agreement.

  • Delegation; Committees The Trustees shall have the power, consistent with their continuing exclusive authority over the management of the Trust and the Trust Property, to delegate from time to time to such of their number or to officers, employees or agents of the Trust the doing of such things, including any matters set forth in this Declaration, and the execution of such instruments either in the name of the Trust or the names of the Trustees or otherwise as the Trustees may deem expedient. The Trustees may designate one or more committees which shall have all or such lesser portion of the authority of the entire Board of Trustees as the Trustees shall determine from time to time except to the extent action by the entire Board of Trustees or particular Trustees is required by the 0000 Xxx.

  • Powers It has the power to execute this Agreement and any other documentation relating to this Agreement to which it is a party, to deliver this Agreement and any other documentation relating to this Agreement that it is required by this Agreement to deliver and to perform its obligations under this Agreement and any obligations it has under any Credit Support Document to which it is a party and has taken all necessary action to authorise such execution, delivery and performance;

  • Other Activities of Administrator Nothing herein shall prevent the Administrator or its Affiliates from engaging in other businesses or, in its or their sole discretion, from acting as an administrator for any other person or entity, or in a similar capacity therefor, even though such person or entity may engage in business activities similar to those of the Issuer, the Owner Trustee or the Indenture Trustee.
