ACKNOWLEDGEMENT BY PARTY A. On the Novation Date for a Transaction, or proportion of that Transaction, Party A is deemed to undertake and acknowledge to the Transferee Fund and Party C in its capacity as manager of the Transferee Fund that the Transferee Fund and Party C in its capacity as manager of the Transferee Fund (as the case may be) are on and from the Novation Date respectively entitled to all the rights and entitlements of the Transferor Fund and Party C in its capacity as manager of the Transferor Fund under that Transaction or proportion of that Transaction to the extent that such rights and entitlements arise or accrue on or after the Novation Date.

  • Acknowledgement Each Purchaser hereunder acknowledges its primary responsibilities under the Securities Act and accordingly will not sell or otherwise transfer the Securities or any interest therein without complying with the requirements of the Securities Act. Both the Company and its Transfer Agent, and their respective directors, officers, employees and agents, may rely on this Section 4.1(e) and each Purchaser hereunder will indemnify and hold harmless each of such persons from any breaches or violations of this Section 4.1(e).

  • Acknowledgements of Parties The parties to this Agreement hereby acknowledge that they are sophisticated business persons who were represented by counsel during the negotiations regarding the provisions hereof including, without limitation, the provisions of this Section 7, and are fully informed regarding said provisions.
