Beijing Yi Ran Ju Ke Technology Development Co., Ltd., a company with limited liability incorporated and existing under the laws of the People’s Republic of China (the “PRC”), with its registered address at Xxxx 000, Xxxxx 0, Xxxxxxxx 00, Xxxxx Xxxx, Service Buildings, Xx.00 Xxxxxxxxxxxx Xxxxx Xxxxxx, Xxxxxxx Xxxxxxxx, Xxxxxxx;

Shanghai Xiao-i Robot Technology Company Limited, a company limited by shares, established and existing under the laws of the PRC, with its address at F7, Xx. 000, Xxxx 0000, Xxxx Xxxxxxxxxxx Xxxx, Xxxxxxx Xxxxxxxx, Xxxxxxxx. In this Agreement, each of the Pledgee, the Pledgor and Party C shall be referred to as a “Party” respectively, and they shall be collectively referred to as the “Parties”.

Sanming City Fufeng Industrial Co., Ltd., a company registered and established in accordance with the laws of the People’s Republic of China, with its registered address at 5th Floor of Complex Building, Sanyuan Street, Sanyuan District, Sanming City, and the registration number of which is 350400100017619, the legal representative of which is Lu Zipeng, whose nationality is People’s Republic of China;
Party C. Party C to this Contract is: XXXX Xxxxxxxx, a PRC citizen whose ID number is 000000000000000000 with her domicile at 7 Xxxx Xxxx Wan Garden, Luqiao Block, Lu Qiao District, Taizhou, Zhejiang Province, PRC.
Party C. Party C represents and warrants that, as of the date of signing hereof it has obtained, and will maintain the validity of, all permits from the relevant governmental authorities necessary for the lawful operation of its business and its performance of this Agreement.
Party C. Yao Linfu, a PRC citizen with the PRC ID card number of 330124195205240012, and domicile at Xxxx 0000, Xxxx 0, Xxxxxxxx 0 xx Xxxxxxxxx Xxxx Garden, West Lake District, Hangzhou City. Party B and Party C are hereinafter collectively referred to as the “Transferors”. The Transferors and the Transferee are hereinafter collectively referred to as “All Parties” as well as each of the Transferors and the Transferee is hereinafter referred to as “Party”.
Party C. 3.3.1 Party C undertakes that the equity interest pledged under this Agreement is free of defect and he has complete and undisputable ownership of the equity interest.
