Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, the Effective Date Certificate, dated the Effective Date and duly executed and delivered by the chief executive officer, an Authorized Person or the Treasurer of Micro.
Effective Date Certificate. The Administrative Agent shall have received, with counterparts for each Lender, the Effective Date Certificate substantially in the form of Exhibit A hereto, dated the Effective Date and duly executed and delivered by the chief executive, financial or accounting (or equivalent) Authorized Officer of each Borrower, in which certificate WWI shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of WWI made as of such date under this Agreement, and, at the time such certificate is delivered, such statements shall in fact be true and correct.
Effective Date Certificate. The Administrative Agent shall have received the Effective Date Certificate in the form attached hereto as Exhibit A-1 from the Borrower.
Effective Date Certificate. Borrower shall have delivered to Administrative Agent an originally executed Effective Date Certificate, together with all attachments thereto.
Effective Date Certificate. Holdings and Company shall have delivered to Syndication Agent and Administrative Agent an originally executed Effective Date Certificate, together with all attachments thereto.

The Lender shall have received a certificate, dated as of the Forbearance Effective Date and duly executed and delivered by an Authorized Officer of the Borrower and each Guarantor certifying as to the matters set forth in Articles IV and V hereof, in form and substance satisfactory to the Lender.
Effective Date Certificate. The Agent shall have received the Effective Date Certificate, dated as of the Effective Date and duly executed and delivered by an Authorized Officer of the Borrower, in which certificate the Borrower shall agree and acknowledge that the statements made therein shall be deemed to be true and correct representations and warranties of the Borrower as of such date, and, at the time such certificate is delivered, such statements shall in fact be true and correct. All documents and agreements (including the Acquisition Documents) required to be appended to the Effective Date Certificate shall be in form and substance satisfactory to the Agent, shall have been executed and delivered by the requisite parties, and shall be in full force and effect.
Effective Date Certificate. The Administrative Agent shall have received a certificate, dated the Effective Date and signed by the chief financial officer or the treasurer of the Borrower, confirming the satisfaction of the conditions set forth in this §8.
Effective Date Certificate. Company shall have delivered to Syndication Agent and Administrative Agent an originally executed Effective Date Certificate, together with all attachments thereto.
Effective Date Certificate. The Administrative Agent shall have received, with a copy for each Lender, a certificate of each of the Borrower and the other Loan Parties, dated the Effective Date, substantially in the form of Exhibit E to the Agreement, with appropriate insertions and attachments satisfactory in form and substance to the Administrative Agent, executed by the President (or other authorized officer) of the Borrower or the relevant Loan Party, as applicable.
