Compliance with Laws; Permits; No Defaults. (a) Except as is not and would not reasonably be expected to be, individually or in the aggregate, material to the SPAC or as disclosed in the Data Room in a manner which it is reasonably apparent relates to this representation, the SPAC is not, and since January 26, 2021 has not been, in non-compliance with any Laws applicable to the SPAC.
