MISCELLANEOUS PROVISIONS. This Agreement is made in the form of an accession agreement and constitutes the entire agreement between the Company and you with respect to your use of and access to the Website. This Agreement supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and the Company with respect to the Website. Use of the Website is unauthorized in any jurisdiction that does not give effect to all of the terms and conditions of this Agreement. If for any reason a court of competent jurisdiction finds any provision of this Agreement, or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to give legal effect to the intent of the Agreement, and the remainder of this Agreement shall continue in full force and effect. A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement or the Website to the same extent and subject to the same conditions as other business documents and records generated and maintained in printed form by the Company. The failure of the Company to enforce any provision of this Agreement shall not be deemed a waiver of such provision nor bar the Company’s right to enforce the provision. This Agreement and the terms of use above will take effect at the time you begin using the Website. The Company reserves the right, with or without notice, at any time and for any reason to deny you access to the Websites or to any portion thereof, and to terminate this Agreement. This Agreement will terminate automatically if you fail to comply with the terms set forth herein. You may terminate these Terms of Use at any time by ceasing to use the Website, but all applicable provisions of this Agreement will survive such termination. This Agreement shall be governed by and construed in accordance with the laws of Ukraine, without regard to conflicts of laws provisions. Any disputes arising out or in connection with this Agreement, including the terms and conditions above shall be referred to and finally resolved in Ukrainian courts. MISCELLANEOUS PROVISIONS. 46 Annex 1a Compliance Covenants Borrower 48 Annex 1b Compliance Covenants Project-Executing Agencies 51 Borrower 56 On the basis of an agreement ratified on 15.06.2021 between the Cabinet of Ministers of Ukraine and the Government of the Federal Republic of Germany on Financial Cooperation (allocations 2012-2019) ("Government Agreement"), the Borrower, the Project-Executing Agencies and KfW hereby enter into the following Loan and Grant Agreement between the Cabinet of Ministers of Ukraine, Zhytomyr City Council and Zaporizhzhia City Council and KfW, Frankfurt am Main (the “Agreement”). Taking into account the Borrower’s established procedures for the preparation, implementation and monitoring of the projects financed within international financial cooperation and for the attracting, utilizing and monitoring of international technical aid, the following shall apply: With respect to the loan component under this Agreement, the Borrower shall act through the Ministry for Development of Communities and Territories of Ukraine (the “Responsible Executive”) in supporting, supervising and controlling implementation of the measures to be financed from the loan. As a consequence, the Responsible Executive shall represent the Borrower with respect to a certain number of aspects related to the loan component. The grant component under this Agreement shall be managed by the Borrower acting through the Responsible Executive.
MISCELLANEOUS PROVISIONS. 10.1 The Borrower undertakes to comply at all times with the obligations set out in Annex 1a (Compliance Covenants Borrower). The Project- Executing Agencies undertake to comply at all times with the obligations set out in Annex 1b (Compliance Covenants Project- Executing Agencies).
