Xxxxxxxx Controlled Affiliate means Manager, Xxxxxxxx Entertainment, the Xxxxxxxx Family Parties, Xxxxx X. Xxxxxxxx III, Xxxxxxx X. Xxxxxxxx and any Subsidiary of any of the foregoing or any combination thereof; provided that neither Zuffa, LLC, a Nevada limited liability company, nor any Subsidiaries or joint ventures of Zuffa, LLC, a Nevada limited liability company, shall constitute a Xxxxxxxx Controlled Affiliate unless engaged in the investment in, ownership of, or management of a Hospitality Product or any activity (other than online gaming) that requires licensing as a casino gaming company.
