  • The Purchaser acknowledges that the Vendors are not and will not be obligated to maintain, alter, modify or improve the Xxxxxx Mine site to allow the Purchaser and its Representatives to access the Xxxxxx Mine site or to conduct any Removal Activity.

  • In connection with access to the Xxxxxx Mine site, the Purchaser shall (1) comply with all Applicable Laws, (2) be responsible, at its sole expense for obtaining any permits, licenses, authorizations or approvals required by any Laws, and (3) take all necessary and reasonable health and safety precautions for its employees and subcontractors.

  • CPCC, Conrhein and CTH own undivided interests in those certain coal mines in Xxxxxx and Washington Counties, Pennsylvania and Xxxxxxxx County, West Virginia, commonly known as the Xxxxxx Mine, the Xxxxx Fork Mine, the Xxxxxx Mine, and the related preparation plant commonly known as the Xxxxxx preparation plant (collectively, the “Pennsylvania Mine Complex”).

  • The Purchaser hereby releases and discharges the Vendors, the Vendors’ Affiliates and each of their respective Representatives and assumes the risk of loss of or damage to Persons or property as may be related to the Purchaser accessing the Bloom Lake Mine and/or Xxxxxx Mine or the dismantling, removal, transportation or any use or resale of the Purchased Assets by the Purchaser.

  • The Purchaser and its Representatives shall be permitted access to the Xxxxxx Mine site for the sole purpose of dismantling, removing and transporting the Purchased Assets off the Xxxxxx Mine site by the Removal Deadline (the “Removal Activities”).

  • These benchmarks may be achieved over time as the reintroduction effort progresses and the population develops.Implementation and monitoring of the reintroduction project will continue to be evaluated on an annual basis and the reintroduction strategy will be adaptively managed.
