Xxxxxx Financial Statements has the meaning set out in Section 3.13.

Xxxxxx Financial Statements has the meaning set forth in Section 6.6(b).

Xxxxxx Financial Statements means (i) the consolidated statements of condition of Xxxxxx as of June 30, 2010 and as of December 31, 2009, 2008 and 2007 and the related consolidated statements of income, cash flows and changes in shareholders’ equity (including related notes, if any) for the six months ended June 30, 2010, and each of the three years ended December 31, 2009, 2008 and 2007, as filed by Xxxxxx in its SEC Documents and (ii) the consolidated statements of condition of Xxxxxx and related consolidated statements of income, cash flows and changes in shareholders’ equity (including related notes, if any) as filed by Xxxxxx in its SEC Documents as of dates or with respect to periods ended subsequent to June 30, 2010. For purposes of this Agreement, the terms “Xxxxxx,” “Xxxxxx Bank,” “CBSI,” “Community Bank” and “Subsidiary” include all of the respective predecessors thereof (including without limitation, any previously acquired Person).

• Xxxxxx has also delivered to the Partnership and each Target Company on Schedule 4.26 in the case of those contingent liabilities related to pending ------------- or threatened litigation, or other liabilities which are not fixed, a good faith and reasonable estimate of the maximum amount which Xxxxxx reasonably expects will be payable and the amount, if any, accrued or reserved for each such potential liability on the Xxxxxx Financial Statements.

Xxxxxx Financial Statements has the meaning ascribed thereto in Section 3.1(k);

Xxxxxx Financial Statements means the audited comparative consolidated financial statements of xXxxxx as at and for the year ended December 31, 2017 and 2018, in each case together with the notes thereto and, where applicable, the auditors' report thereon;

Xxxxxx Financial Statements means collectively, the financial statements of Xxxxxx for the years ended December 31, 2000 and 2001, and the ten months ended October 31, 2002, all of which were prepared on an accrual basis in accordance with United States generally accepted accounting principles (other than the treatment of the Xxxxxx Unlisted Inventory), true copies of which are attached as Schedule “F” hereto;
