If Ventas lists or maintains the listing of Ventas Shares on any securities exchange or national market system, it shall, at its expense and as necessary to permit the registration and issuance of the Redemption Shares hereunder, list thereon, maintain and, when necessary, increase such listing to include such Redemption Shares.
Newco Shares means the common shares in the capital of Newco;
Co-op Shares Shares issued by private non-profit housing corporations.
ASA Shares has the meaning set forth in 2.4(a).
Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.
Stock Consideration has the meaning set forth in Section 2.01(c).
Coop Shares Shares issued by a Cooperative Corporation.
Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).
Unit Shares has the meaning ascribed thereto in the first paragraph of this Agreement;
Exchangeable Share Consideration has the meaning provided in the Exchangeable Share Provisions.
Per Share Consideration means (i) if the consideration paid to holders of the Common Stock consists exclusively of cash, the amount of such cash per share of Common Stock, and (ii) in all other cases, the volume weighted average price of the Common Stock as reported during the ten (10) trading day period ending on the trading day prior to the effective date of the applicable event. If any reclassification or reorganization also results in a change in shares of Common Stock covered by subsection 4.1.1, then such adjustment shall be made pursuant to subsection 4.1.1 or Sections 4.2, 4.3 and this Section 4.4. The provisions of this Section 4.4 shall similarly apply to successive reclassifications, reorganizations, mergers or consolidations, sales or other transfers. In no event will the Warrant Price be reduced to less than the par value per share issuable upon exercise of the Warrant.
Common Stock Consideration has the meaning set forth in Section 1.6(b).
Consideration Shares shall have the meaning set forth in Section 2.7(c).
Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.
Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.
A Shares means shares issued by companies incorporated in the PRC and listed on the SSE or the SZSE, traded in RMB and available for investment by domestic investors through Stock Connect.
B Shares means a participating share of no par value in the capital of the Fund, denominated in Euro(s);
Acquired Shares has the meaning set forth in the Recitals.
Series C Shares means the shares of Fixed Rate Cumulative Perpetual Preferred Stock, Series C, of the Company.
Equity Shares means the Common Shares and any shares of any other class or series of the Corporation which may from time to time be authorized for issue if by their terms such shares confer on the holders thereof the right to participate in the distribution of assets upon the voluntary or involuntary liquidation, dissolution or winding up of the Corporation beyond a fixed sum or a fixed sum plus accrued dividends;
Previously Acquired Shares means shares of Common Stock that are already owned by the Participant or, with respect to any Incentive Award, that are to be issued upon the grant, exercise or vesting of such Incentive Award.
Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.
Founder Shares shall have the meaning given in the Recitals hereto and shall be deemed to include the shares of Common Stock issuable upon conversion thereof.
Fully Diluted Shares means total diluted shares as reported in the Company's Consolidated Income Statement for each fiscal year of the Performance Period, but shall exclude the dilutive effect of any restricted stock or restricted stock unit awards granted during the Performance Period and all options, restricted stock and other equity compensation granted to Directors during the Performance Period.
Shares means the shares of Common Stock issued or issuable to each Purchaser pursuant to this Agreement.
Incentive Shares means Shares awarded pursuant to the provisions of Article 12.
Membership Units has the meaning set forth in the Recitals.
