UIQ Software definition

UIQ Software. “UIQ” or “UtilityIQ” means the object code version of SSN’s UtilityIQ software. “***” means SSN’s ***.
UIQ Software or “UIQ” means the object code version of Silver Spring’s UtilityIQ software.

  • SILVERSPRING is solely responsible for maintenance and service on all equipment and Servers necessary to host the UIQ Software.

  • SSN shall deposit in an escrow account the Source Code of the UIQ Software and Gridscape, Major and Minor Releases provided by SSN under this Agreement, and related documentation (collectively, the “Escrow Deposits”) within thirty (30) days after System Acceptance of each System.

  • Provided that ComEd has paid all applicable fees, Silver Spring will install any Upgrades for UIQ modules as a planned System Change pursuant to Task 4.2.1.2. Various functions within the UIQ Software may not be available during the Upgrade installation.

  • SILVERSPRING will give *** of any intent to relocate the Server or Servers on which the UIQ Software is installed.

  • ComEd’s use of all UIQ Software and Upgrades provided under this Attachment will be governed by the Master Agreement, including but not limited to the terms relating to license and ownership rights, use limitations, intellectual property indemnity and limitations of liability.

  • If ComEd refuses Upgrades to the version of UIQ Software it is using, Silver Spring will provide Software Support Services for that Major Release for a period of the lesser of: (a) the remainder of the Application Management services term as defined in Attachment 2, or (b) *** years (commencing on the date that the Major Release is made available to ComEd).

  • Support Services will commence on the initial Delivery Date of the UIQ Software and remain in full force and effect for an initial term (a) if Customer is purchasing Solution Services, in accordance with the Solution Services agreement term and (b) otherwise, ***, unless earlier terminated in accordance with the General Terms and Conditions.

Related to UIQ Software

  • Font Software means software or instructions which, when used on an appropriate device or devices, generates typeface and typographic designs and ornaments. Font Software shall include all Subsets and bitmap representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes upgrades or updates (each of which may be provided to you by Monotype in its sole discretion), related files, permitted modifications, permitted copies, and related documentation.

  • Supplier Software means software which is proprietary to the Supplier and software which is or will be used by the Supplier for the purposes of providing the Placement Services;

  • SAP Software means: (i) any and all software products and Cloud Services licensed to Customer under the License Agreement as specified in software order forms or Cloud Service Order Forms (or other order forms, schedules or appendices as applicable) thereto; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to the respective support agreement or warranty obligation and (iii) any complete or partial copies of any of the foregoing.

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Customer Software means software which is owned by or licensed to the Customer, including software which is or will be used by the Supplier for the purposes of providing the Goods and/or Services but excluding the Supplier Software;
