Total Adjusted Merger Consideration definition

Total Adjusted Merger Consideration means Total Merger Consideration minus the aggregate Vested Company Option Cash Out Amount payable all holders of Vested Company Options pursuant to Section 1.9(a)(iv).
Total Adjusted Merger Consideration means the Total Merger Consideration less the aggregate amount of the Estimated Shomiti Transaction Expenses (excluding the Shomiti Accounting Fee Deductible) set forth in the Shomiti Closing Transaction Expense Schedule.
