Tier 2 Group Majority definition

Tier 2 Group Majority means the Company Security Holders in the Holder Group of a Tier 2 Holder that collectively own Company Securities that represent at least a majority of the votes entitled to be cast by all Common Units and Preferred Units convertible into Common Units (calculated as a single class on an as-converted to Common Unit basis) owned by all Company Security Holders in the Holder Group of such Tier 2 Holder.
