Third Mezzanine Note definition

Third Mezzanine Note has the meaning set forth in the Recitals hereto.
Third Mezzanine Note means that certain Third Mezzanine Note A-1 in the principal amount of $8,000,000 dated as of the date hereof, from Third Mezzanine Borrower to Third Mezzanine Lender.

Third Mezzanine Note means the "Mezzanine Note" as defined in the Third Mezzanine Loan Agreement, made payable by Third Mezzanine Borrower, as maker to the order of Third Mezzanine Lender.

  • Term Loan Security Documents means the “Security Documents” as defined in the Term Loan Credit Agreement.

  • Mortgage Loan Sale Agreement The mortgage loan sale and assignment agreement dated as of July 1, 2005, for the sale of the Mortgage Loans by the Seller to the Depositor.

  • Senior Loan Agreement means that certain Term Loan Agreement, dated as of June 26, 2015, by and among Borrower and Senior Lenders, as amended, restated, supplemented or otherwise modified from time to time.

  • Park Monaco Mortgage Loans The Mortgage Loans identified as such on the Mortgage Loan Schedule for which Park Monaco is the applicable Seller.

  • Mortgage Loan Purchase Agreement The agreement between the Seller and the Depositor, regarding the transfer of the Mortgage Loans by the Seller to or at the direction of the Depositor, substantially in the form of Exhibit D annexed hereto.

  • Subordination Agreement means an agreement among the Agent, the applicable Borrower or Subsidiary of the Borrower and the holder of any Subordinated Debt, pursuant to which such Indebtedness is made subordinate in right of payment to Payment in Full of all Obligations on terms reasonably satisfactory to the Agent.
