Targeted Excess of Debt Minus Working Capital definition

Targeted Excess of Debt Minus Working Capital means the amount by which the aggregate long term indebtedness and current liabilities of the Company and its Subsidiaries on a consolidated basis exceed the current assets of the Company on a consolidated basis, each such amount to be determined in accordance with generally accepted accounting principles as applied by Company management on the same basis that was used to prepare the Company’s consolidated balance sheet at December 31, 2005 filed with the Securities and Exchange Commission, provided that, notwithstanding the foregoing and based on the information presented in Schedule 9.10(f), the following items shall not be included in calculating Targeted Excess of Debt Minus Working Capital as of each of the Reference Dates set forth below.
