Stream Instruments definition

Stream Instruments means the Contracts memorializing and containing the terms and conditions for the Streams, as described in Schedule F attached hereto.
Stream Instruments has the meaning given thereto in the Acquisition Agreement.

Examples of Stream Instruments in a sentence

  • None of the Holding Entities or the Sellers or, to the Knowledge of the Sellers, any other party to the Stream Instruments and Offtake Instruments, is in material default of any obligation under the Stream Instruments and Offtake Instruments, which would reasonably be considered to be a material default thereunder.

  • The Sellers have made available to the Buyer true, complete and correct copies of the Stream Instruments and Offtake Instruments, including all amendments, waivers, subordinations or modifications thereto, and all such Stream Instruments and Offtake Instruments are in full force and effect and are valid and binding obligations of the parties thereto in accordance with their respective terms.

  • There are no material Contracts to which any Holding Entity is a party other than the Offtake Instruments, the Royalty Instruments and the Stream Instruments.

  • All applicable conditions precedent required to be satisfied pursuant to the Stream Instruments were satisfied prior to the payment of deposits pursuant to such Stream Instruments.

  • Trade Instruments means any performance bonds, advance payment bonds or documentary letters of credit issued in respect of the obligations of any Group Member (which obligations do not constitute Financial Indebtedness) arising in the ordinary course of trading of that Group Member.

  • Subject Instruments shall nonetheless mean such instrument, agreement or other document, as the case may be, in its entirety, including any portions thereof which shall have been so redacted, deleted or otherwise not filed.

  • Tier 2 Instruments means at any time tier 2 instruments as interpreted and applied in accordance with the Applicable Banking Regulations;

  • Debt Instruments means bonds, notes or other debt securities (however defined), which are or are intended to be quoted, listed, traded or otherwise admitted to trading on a Regulated Market or an MTF.

  • Underlying Instruments The loan agreement, credit agreement, indenture or other agreement pursuant to which a Loan or Permitted Investment has been issued or created and each other agreement that governs the terms of or secures the obligations represented by such Loan or Permitted Investment or of which the holders of such Loan or Permitted Investment are the beneficiaries.

  • Commercial Agreements means all or any Agreement or Agreements with any third party including but not limited to broadcasting, media, sponsorship, marketing, merchandising, licensing and advertising, for the general promotion of each or any of the Clubs in the Competition and the Company, and which have the object of promoting the welfare and general commercial interest and increasing the financial resources of each of the Clubs, the Company and the Competition.

  • Release Instruments is defined in Section 11.12(f).

  • Governing Instruments means, with regard to any entity, the articles of incorporation and bylaws in the case of a corporation, certificate of limited partnership (if applicable) and the partnership agreement in the case of a general or limited partnership, the articles of formation and the operating agreement in the case of a limited liability company, the trust instrument in the case of a trust, or similar governing documents, in each case as amended from time to time.

  • Money Market Instruments means instruments normally dealt in on the money

  • Pledged Debt Instruments means all right, title and interest of any Grantor in Instruments evidencing any Indebtedness owed to such Grantor, including all Indebtedness described on Schedule 2 (Pledged Collateral), issued by the obligors named therein.
