South African Notes definition

South African Notes means any debt securities issued by the Parent or any South African Restricted Subsidiary from time to time.

  • Where, in relation to the issue of any such Tranche of South African Notes, this JSE Placement Document and/or the relevant Final Terms is distributed and/or made available for inspection in South Africa, a copy of each Issuer's most recently published audited financial statements will at all times separately accompany this JSE Placement Document and/or the relevant Final Terms, as required by the Commercial Paper Regulations.

  • South Africa means the Republic of South Africa;

  • High Yield Securities means debt Securities and Preferred Stock, in each case (a) issued by public or private issuers, (b) issued pursuant to an effective registration statement or pursuant to Rule 144A under the Securities Act (or any successor provision thereunder) or other exemption to the Securities Act and (c) that are not Cash Equivalents, Mezzanine Investments or Bank Loans.

  • Principal Finance Documents means the Credit Agreement, the Senior Secured Note Indenture, the Intercreditor Arrangements and any Additional Agreement.

  • High Yield Notes means the Senior Notes and Senior Subordinated Notes.

  • Malta means the Island of Malta, the Island of Gozo and the other islands of the Maltese Archipelago, including the territorial waters thereof;

  • Subordinated Notes means the Initial Notes and the Exchange Notes and, more particularly, any Subordinated Note authenticated and delivered under this Indenture, including those Subordinated Notes issued or authenticated upon transfer, replacement or exchange.

  • Denmark means the Kingdom of Denmark including any area outside the territorial sea of Denmark which in accordance with international law has been or may hereafter be designated under Danish laws as an area within which Denmark may exercise sovereign rights with respect to the exploration and exploitation of the natural resources of the sea-bed or its subsoil and the superjacent waters and with respect to other activities for the exploration and economic exploitation of the area; the term does not comprise the Faroe Islands and Greenland;

  • Australian Corporations Act means the Corporations Xxx 0000 (Cth) of Australia.

  • United Kingdom means Great Britain and Northern Ireland;

  • Public Notes means the Notes that have been registered under the Securities Act of 1933, as amended, or the securities laws of any other jurisdiction. As of the Closing Date, the Public Notes include the Class A Notes, the Class B Notes, the Class C Notes and the Class D Notes, other than any Notes held by the Depositor (or any other entity whose separate existence from the Trust is disregarded for federal income tax purposes).

  • Australian Subsidiary means any Subsidiary that is organized under the laws of Australia or any territory thereof.

  • Finland means the Republic of Finland and, when used in a geographical sense, means the territory of the Republic of Finland, and any area adjacent to the territorial waters of the Republic of Finland within which, under the laws of Finland and in accordance with international law, the rights of Finland with respect to the exploration for and exploitation of the natural resources of the sea bed and its sub-soil and of the superjacent waters may be exercised;

  • Ireland means the Republic of Ireland.

  • India means the territory of India and includes the territorial sea and airspace above it, as well as any other maritime zone in which India has sovereign rights, other rights and jurisdiction, according to the Indian law and in accordance with international law, including the U.N. Convention on the Law of the Sea;

  • Principal Financial Centre means, in relation to any currency, the principal financial centre for that currency provided, however, that:

  • U.S. Physical Notes has the meaning provided in Section 2.01.

  • Bermuda means the Islands of Bermuda;

  • Offshore Physical Notes has the meaning provided in Section 2.01.

  • Original Notes means the Initial Notes and any Exchange Notes issued in exchange therefor.

  • Spain means the Kingdom of Spain.

  • Malaysia means the territories of the Federation of Malaysia, the territorial waters of Malaysia and the sea-bed and subsoil of the territorial waters, and includes any area extending beyond the limits of the territorial waters of Malaysia, and the sea-bed and subsoil of any such area, which has been or may hereafter be designated under the laws of Malaysia and in accordance with international law as an area over which Malaysia has sovereign rights for the purposes of exploring and exploiting the natural resources, whether living or non-living;

  • Highway authority means the state highway commission, a board of county road commissioners or the governing body of a city or village.
