Sort Services means the wafer testing and sorting services to be provided by the applicable FoundryCo Manufacturing Entities upon agreement of the parties to determine conformance of the Wafers with the Specifications.

  • The Parties’ good faith discussions shall take into account FoundryCo’s utilization of its existing equipment and tooling, and its performance of Sort Services on all new Products (including [****]), and that consignment by AMD of equipment and tooling necessary for FoundryCo to perform Sort Services, [****], will be only as mutually agreed.

  • Unless otherwise agreed to by the parties, AMD shall consign to the FoundryCo Manufacturing Entities all equipment and tooling (other than the Sort Equipment described below in Section 4.2(b), but including any upgrade to then existing equipment and tooling) necessary for the FoundryCo Manufacturing Entities to provide Sort Services, and such equipment and tooling shall be considered AMD Furnished Property subject to Section 4.3 below.

  • FSL may subcontract or otherwise delegate the performance of any of its obligations under this Agreement (a) upon written notice to Spansion but without any requirement for Spansion’s consent, to any Person that, directly or indirectly, performed or was performing Sort Services on Wafers for or on behalf of FSL or any Affiliate of FSL immediately prior to the Effective Date; or (b) with Spansion’s prior written consent (not to be unreasonably withheld, delayed or conditioned), to any other Person.

  • FSL shall keep and maintain, in electronic form or otherwise, the quality records of Wafer processing and outgoing test results on a Wafer-by-Wafer basis for five (5) years after the performance of the applicable Sort Services.

  • Seller shall have executed the Ancillary Agreements, including a Services Agreement, Sort Services Agreement and Wafer Processing Services Agreement in forms reasonably acceptable to Purchaser.

  • The indemnification rights and obligations contained in this Article 9 are without prejudice to the allocation of liabilities and obligations between the applicable parties to each of the Wafer Supply Agreement, the Sort Services Agreement, the Assembly Services Agreement, the Distribution Agreement, the Transition Services Agreement, the Trademark License Agreement, the IP Assignment Agreement, the IP License Agreement, the Inventory Purchase and Sale Agreement and the Equipment Tester Transfer Agreement.

Related to Sort Services

  • Support Services means support in relation to the use of, and the identification and resolution of errors in, the Hosted Services, but shall not include the provision of training services;

  • Cloud Services means SAP’s then-current cloud services offered under and described in detail in the applicable SAP PartnerEdge Model.

  • IT Services means the development, operation and maintenance of advanced internet networking and data services through ownership or lease of any and all systems, equipment, technology or means and methods necessary to provide competitive, up-to-date IT services to Members and non-Member LGUs.

  • Hosting Services means the provision, administration, and maintenance of servers and related equipment, the provision of bandwidth at the hosting facility, and the operation of the Application for access by Customer Users to be provided by the relevant hosting service provider.

  • Project Services means architectural, engineering services, land surveying, construction management at-risk services, ancillary technical services or other construction-related services determined by the board to be required by the project.
