Sole Equity Owner definition

Sole Equity Owner. A person who is treated for U.S. federal income tax purposes as the sole owner of the Subordinated Securities and the other securities that are treated as equity of the Issuer for U.S. federal income tax purposes.
Sole Equity Owner. A person who is treated for U.S. federal income tax purposes as the sole owner of the Preferred Interests, the Reinvesting Holder Notes and the other securities that are treated as equity of the Issuer for U.S. federal income tax purposes.

  • For so long as all of the Preferred Shares and any other interests that are treated as equity of the Issuer for U.S. federal income tax purposes are held by a Sole Equity Owner, the Issuer will be disregarded as separate from such Sole Equity Owner for U.S. federal income tax purposes.

  • The Issuer intends to treat itself as a disregarded entity from its sole owner, GoldenTree Credit Opportunities Master Fund Ltd., or any applicable Sole Equity Owner, as the case may be.

  • Special Purpose Investment Personnel means each SEI Access Person who, in connection with his or her regular functions (including, where appropriate, attendance at Board meetings and other meetings at which the official business of a Trust or any Fund thereof is discussed or carried on), obtains contemporaneous information regarding the purchase or sale of a Security by a Fund. Special Purpose Investment Personnel shall occupy this status only with respect to those Securities as to which he or she obtains such contemporaneous information.

  • Wholly-Owned Consolidated Subsidiary means any Consolidated Subsidiary all of the shares of capital stock or other ownership interests of which (except directors' qualifying shares) are at the time directly or indirectly owned by the Borrower.

  • SPE means (i) an entity formed for the purpose of holding, acquiring, constructing, developing or improving assets whose acquisition, construction, development or improvement will be financed by Specified SPE Debt or equity investments in such entity or (ii) an entity acquired by the Restricted Parent or a Restricted Subsidiary of the Restricted Parent whose outstanding Indebtedness is all Specified SPE Debt.

  • Equity Investments shall have the meaning provided in the preamble to this Agreement.

  • JV means Joint Ventures

  • Joint Venture Investment means, with respect to any Obligor, any Investment by such Obligor in a joint venture or other investment vehicle in the form of a capital investment, loan or other commitment in or to such joint venture or other investment vehicle pursuant to which such Obligor may be required to provide contributions, investments, or financing to such joint venture or other investment vehicle and which Investment the Borrower has designated as a “Joint Venture Investment”.

  • Equity Member means each member of the Respondent team that will contribute equity as part of the financing of the Project.

  • Holdco has the meaning set forth in the Preamble.

  • Permitted Joint Venture Investment means, with respect to any specified Person, Investments in any other Person engaged in a Permitted Business of which at least 40% of the outstanding Capital Stock of such other Person is at the time owned directly or indirectly by the specified Person.

  • Sales finance company means that term as defined in section 2 of the motor vehicle sales finance act, MCL 492.102.

  • Borrower Partnership Agreement means the Limited Partnership Agreement of the Borrower dated as of January 17, 2014 as such agreement may be amended, restated, modified or supplemented from time to time with the consent of the Administrative Agent or as permitted under Section 10.10.

  • Portfolio Company means the issuer or obligor under any Portfolio Investment held by any Obligor.
