Second Lien Settlement Shares definition

Second Lien Settlement Shares means the New Variable Voting Shares to be issued to the Second Lien Noteholders pursuant to the Plan of Arrangement in full settlement of the Second Lien Note Obligations, which New Variable Voting Shares will represent 98% of the number of New Shares outstanding upon completion of the Recapitalization.

  • Mandatory Redemption Settlement Date means, in respect of a Mandatory Redemption Event, the day that falls three Currency Business Days after the day on which the Issuer has received payment in full from the Margin Loan Provider of the amounts payable in respect of the termination of the LS Margin Account Agreement.

  • Structured settlement payment rights means rights to receive periodic payments under a structured settlement, whether from the structured settlement obligor or the annuity issuer, where:

  • PJM Settlement or “PJM Settlement, Inc.” shall mean PJM Settlement, Inc. (or its successor), established by PJM as set forth in Operating Agreement, section 3.3.   • Cash Settlement Amount means the “Cash Settlement Amount” as determined by the Calculation Agent in accordance with Paragraph 6.

  • Cash Settlement shall have the meaning specified in Section 14.02(a).

  • Gross Settlement Amount means $633,000.00 which is the total amount Defendant agrees to pay under the Settlement except as provided in Paragraph 9 below.
