CSDA exists to assist and promote special districts, and has been responsible for the original creation of the Special District Risk Management Authority (“Authority”) and Special District Workers Compensation Authority (“SDWCA”), and determined the consolidation of SDWCA and the Authority on July 1, 2003 was in the best interests of special districts and other public agencies throughout the State.
On the tenth (10th) day of each month, commencing in January, 1999, Buyer shall pay to SDWCA the following amounts with respect to all Accounts Receivable collected by Buyer during the previous calendar month: - 90% of all Accounts Receivable collected at 0-30 days from Closing.

The Special District Workers Compensation Authority (SDWCA), the joint powers authority created by this Second Amended Joint Powers Agreement, hereby executes this agreement and accepts the district named above as a member district in SDWCA subject to all of the terms and conditions set forth in this Second Amended Joint Powers Agreement and in the Bylaws, effective on , 200 .
Except as otherwise provided in th e following paragraph, upon termination, and after making proper provisions for the winding up of the affairs of SDWCA, SDCWA shall pay to the then member districts their pro rata share of the net assets of SDWCA pursuant to the provisions of the Bylaws.
On the Closing Date (as hereinafter defined), SDWCA will transfer to Buyer, and Buyer will purchase from SDWCA, the assets of Amcraft (to the extent assigned to SDWCA pursuant to the Assignment), that are set forth on Exhibit "A" attached hereto (collectively referred to herein as the "Assets").
Buyer represents and warrants to SDWCA that this Agreement and the Assumption Agreement, upon their execution and delivery to SDWCA by the party signing this Agreement and the Assumption Agreement on behalf of Buyer, are each a valid and binding obligation of Buyer, enforceable in accordance with its terms.
Any amount received by Buyer with respect to any Account Receivable that has been reassigned to SDWCA, or as to which SDWCA has elected to receive a reassignment, shall be turned over by Buyer to SDWCA promptly after receipt.
