Restricted Uses definition

Restricted Uses. The term "Restricted Uses" shall mean those restricted uses set forth on Schedule C hereto.
Restricted Uses means, as of any date, determined in each case for the period commencing on the Effective Date and ending on the date of determination based on the provisions of this Agreement or the Existing Restated Credit Agreement, as applicable, (a) the portion of the Unrestricted Subsidiary Investment Amount that constituted Restricted Uses at the time of the applicable Investment or Designation (it being understood that reductions to the Unrestricted Subsidiary Investment Amount under clause (d) of the definition thereof shall be allocated to reduce Restricted Uses until the Unrestricted Subsidiary Investment Amount is reduced to 1% of Consolidated Total Assets); plus (b) the aggregate cumulative amount of all Restricted Payments made pursuant to Section 6.08(a)(iv) and, to the extent expressly applied to the Restricted Uses Basket thereunder, Section 6.08(a)(iii); plus (c) the aggregate amount of payments of Indebtedness made pursuant to Section 6.08(b)(vii); plus (d) the aggregate amount of Equity Proceeds applied to prepay Loans after the Effective Date under Section 2.10(c) of the Existing Parent Credit Agreement; plus (e) for (i) each Synthetic Purchase Agreement that is outstanding, the amount of payments made thereunder on or prior to the time of determination plus the maximum amount of payments that may thereafter may be required to be made by FCX or any Restricted Subsidiary during the term of such Synthetic Purchase Agreement (determined for each Synthetic Purchase Agreement on the date upon which it is entered into and adjusted on each date upon which it is modified) and (ii) each Synthetic Purchase Agreement that has terminated and under which no further payment obligations exist, the amount of payments made thereunder during the term thereof.
Restricted Uses also include the following prohibited uses by Users: (i) uploading or transmitting any content that is, unlawful, harmful, threatening, abusing, harassing, stalking, bullying, threatens violence, defamatory, vulgar, obscene, or infringes, misappropriates, or otherwise violates another’s intellectual property, proprietary, or privacy rights; (ii) use of the Solution in support of or as a part of any organization designated by the United States as a foreign terrorist organization by the United States Secretary of State;

Restricted Uses. (See Section 6.1)
Restricted Uses means any of the following uses: movie theaters; churches; places of worship; schools (except the provision of classes or instruction related to products sold within the Fresh Market Premises shall be permitted); day care centers; Food or Drink Establishments; pet and/or pet supply stores within one hundred fifty feet (150’) of the Fresh Market Premises; realtors in Phase 3; any Common Area sales or solicitations (except by tenants on the sidewalk in front of their stores which do not unreasonably interfere with pedestrian access or passage); peepshows; massage parlors; head shops; video game arcades; bingo parlors; bowling alleys; ice rinks; roller skating rinks; night clubs; health clubs; gyms; spas; call centers or other second or third shift office users; off-track betting parlor; mobile home park or trailer court; car wash; motor vehicle rentals and/or sales; a carnival, amusement park or circus; any public or private nuisance; any noise or sound that is objectionable due to intermittence, beat, frequency, shrillness or loudness; any obnoxious odor; any noxious, toxic, caustic, or corrosive fuel or gas, any dust, dirt, or flyash or similar materials in any excessive quantity; any unusual fire, explosion, or other damaging or dangerous hazard; any warehouse, assembly, manufacture, distillation, refining, smelting, agriculture, or mining operation; any “second hand” store, “dollar” stores (in Phase 3) or similar low-cost, single price-point store, Army Navy, or government “surplus” store, labor camp, junkyard, stockyard, or animal raising, any dumping, disposal, incineration or reduction of garbage or refuse; or any fire or bankruptcy sales or auction house operations.

Restricted Uses means, as of any date, the sum of (I) the aggregate cumulative amount of all Restricted Payments made pursuant to Section 6.08(a)(iii)(B), (II) the aggregate amount of payments of Indebtedness (other than payments permitted by Section 6.08(b)(i)-(v)) as of such date (x) at a time when Liquidity was less than $250,000,000 or (y) to the extent and in the amount that such payments of Indebtedness caused Liquidity to drop below $250,000,000 (determined, in each case, immediately after giving effect to such payments and giving pro forma effect to any deferred payment of cash required thereby) and (III) the aggregate amount of all Investments as of such date made in reliance on clause (p) of Section 6.04.

  • Restricted Areas means (i) all areas within a Facility that are not generally accessible to the public, including judges’ xxxxxxxx, all non-public restrooms, elevators, break rooms, and corridors, in-custody holding, Sheriff areas and other non- public spaces that are dedicated for use only by judges or Court staff and employees, and (ii) public areas of a Facility during non-business hours that are subject to security screening during normal business hours.

  • Intended Use means the use of machinery in accordance with the information provided in the instructions for use;

  • Designated User means any person(s) that you authorise as users of your Broadband service.

  • Mixed use means land, buildings or structures used, or designed or intended for use, for a combination of non-residential and residential uses;

  • Restricted Services means services of any kind or character comparable to those Executive provided to the Company during the eighteen (18) month period immediately preceding Executive’s last date of employment with the Company.

  • Qualified User means a person (e.g., employee, consultant, contingent staff) who: (1) is a user of a Qualified Device, or (2) accesses any server software requiring an Enterprise Product Client Access License or any Enterprise Online Service. It does not include a person who accesses server software or an Online Service solely under a License identified in the Qualified User exemptions in the Product Terms.

  • Uses means, with respect to Protected Health Information, the sharing, employment, application, utilization, examination or analysis of such Information within Business Associate’s internal operations. (See 45 C.F.R § 164.103.)

  • Business Area means an adjacent area that is zoned by a state, county, township, or municipal zoning authority for industrial or commercial purposes, customarily referred to as "b" or business, "c" or commercial, "i" or industrial, "m" or manufacturing, and "s" or service, and all other similar classifications and that is within a city, village, or charter township or is within 1 mile of the corporate limits of a city, village, or charter township or is beyond 1 mile of the corporate limits of a city, village, or charter township and contains 1 or more permanent structures devoted to the industrial or commercial purposes described in this subdivision and that extends along the highway a distance of 800 feet beyond each edge of the activity. Each side of the highway is considered separately in applying this definition except that where it is not topographically feasible for a sign or sign structure to be erected or maintained on the same side of the highway as the permanent structure devoted to industrial or commercial purposes, a business area may be established on the opposite side of a primary highway in an area zoned commercial or industrial or in an unzoned area with the approval of the state highway commission. A permanent structure devoted to industrial or commercial purposes does not result in the establishment of a business area on both sides of the highway. All measurements shall be from the outer edge of the regularly used building, parking lot, or storage or processing area of the commercial or industrial activity and not from the property lines of the activities and shall be along or parallel to the edge or pavement of the highway. Commercial or industrial purposes are those activities generally restricted to commercial or industrial zones in jurisdictions that have zoning. In addition, the following activities are not commercial or industrial:

  • Water-oriented use means a use that is water-dependent, water-related, or water-enjoyment, or a combination of such uses.

  • Intended use plan or “IUP” means the program document identifying the intended uses of funds available for loans pursuant to the WPCSRF and the DWSRF.

  • Prohibited Use Any use or occupancy of the Premises that in Landlord's reasonable judgment would be likely to: (a) cause damage to the Building, the Premises or any equipment, facilities or other systems therein; (b) impair the appearance of the Premises or the Building; (c) interfere with the efficient and economical maintenance, operation and repair of the Premises or the Building or the equipment, facilities or systems thereof; (d) adversely affect any service provided to, and/or the use and occupancy by, any Building tenant or occupants; (e) violate the certificate of occupancy issued for the Premises or the Building or (f) adversely affect the image of the Building as a first-class office location in midtown Manhattan. Prohibited Use also includes the use of any part of the Premises for: (i) a restaurant or bar; (ii) the preparation, consumption, storage, manufacture or sale of food or beverages (except in connection with vending machines and/or warming kitchens installed for the use of Tenant's employees only), liquor, tobacco or drugs; (iii) the business of photocopying, multilith or offset printing (except photocopying in connection with Tenant's own business); (iv) a typing or stenography business; (v) a school or classroom; (vi) lodging or sleeping; (vii) the operation of retail facilities (meaning a business whose primary patronage arises from the generalized solicitation of the general public to visit Tenant's offices in person without a prior appointment) of a savings and loan association or retail facilities of any financial, lending, securities brokerage or investment activity; (viii) a payroll office; (ix) a xxxxxx, beauty or manicure shop; (x) an employment agency, executive search firm or similar enterprise; (xi) offices of any Governmental Authority, any foreign government, the United Nations, or any agency or department of the foregoing; (xii) the manufacture, retail sale, storage of merchandise or auction of merchandise, goods or property of any kind to the general public which could reasonably be expected to create a volume of pedestrian traffic substantially in excess of that normally encountered in the Premises; (xiii) the rendering of medical, dental or other therapeutic or diagnostic services; (xiv) a discount drug store or discount clothing store or a "fast food" restaurant; or (xv) any illegal purposes or any activity constituting a nuisance.

  • contained use means any operation, undertaken within a facility, installation or other physical structure, which involves living modified organisms that are controlled by specific measures that effectively limit their contact with, and their impact on, the external environment;

  • Geographic Service Area or “Service Area” means an area as defined in Section 1345(k) of the Health and Safety Code.

  • Restricted Territory means any state, county, or locality in the United States in which the Company conducts business and any other country, city, state, jurisdiction, or territory in which the Company does business.

  • Geographic Area means the three digit zip code in which the service, treatment, procedure, drugs or supplies are provided; or a greater area if necessary to obtain a representative cross-section of charge for a like treatment, service, procedure, device drug or supply.

  • Licensed premises or “premises” means all rooms, enclosures, contiguous areas, or places susceptible of precise description satisfactory to the administrator where alcoholic beverages, wine, or beer is sold or consumed under authority of a liquor control license, wine permit, or beer permit. A single licensed premises may consist of multiple rooms, enclosures, areas, or places if they are wholly within the confines of a single building or contiguous grounds.

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit "A" or stated in the Service Agreement, or authorized under the statutes referred to herein by this DPA.
