Residual Undertaking definition

Residual Undertaking means the remaining activities, assets, business, contracts, employees and liabilities (actual and contingent) of the Transferor Company subsequent to the transfer of the Fiber Infrastructure Undertaking to the Transferee Company in terms of and upon the effectiveness of the Scheme;
Residual Undertaking means exhaustively:
Residual Undertaking means all the undertakings, businesses, activities and operations of the Transferor Company other than the Financing Undertaking and including without limitation the windmill operations, the holding of shares in IDFC FHCL and in certain other entities, goodwill, intellectual property rights such as trade names, trademarks, service marks, copyrights, domain names, applications for trade names and copyrights;

Examples of Residual Undertaking in a sentence

  • The Residual Undertaking and all the assets, liabilities, rights, title, interest or obligations thereto shall continue to belong to and be vested in and be managed by the Transferor Company and the Transferee Company shall have no right, claim or obligation in relation to the Residual Undertaking.

  • The Residual Undertaking of the Demerged Company, shall continue to be vested in the Demerged Company.

  • All the assets, liabilities and obligations together with the business and operations, pertaining to the Residual Undertaking of the Transferor Company, shall continue to belong to and remain vested in and be managed by the Transferor Company.

  • All assets and properties acquired by the Transferor Company in relation to the Residual Undertaking of the Transferor Company, on and after the Appointed Date shall belong to and continue to remain vested in the Transferor Company.
