Required Jurisdictions definition

Required Jurisdictions means the jurisdictions set forth on Schedule 3.3 hereto.

  • The execution, delivery and performance by Seller of this Agreement require no action by or in respect of, or filing with, any governmental body, agency, or official other than (i) compliance with any applicable requirements of the HSR Act, (ii) the approvals or non-disapprovals of the Required Jurisdictions, and (iii) any such action or filing as to which the failure to make or obtain would not reasonably be expected to have a Material Adverse Effect or a Chubb Securities Material Adverse Effect.
