Quarterly EBITDA definition

Quarterly EBITDA means, as of any date of determination, the sum of the net income of Companies and their consolidated Subsidiaries, for the fiscal quarter ending on such date of determination, plus, to the extent deducted in computating such net income, (i) income taxes for that period, (ii) interest expense for that period and (iii) depreciation, depletion and amortization expense for that period, in each case determined in accordance with GAAP, and (d) other non-cash charges and extraordinary items and minus, to the extent included in the determination of net income, non-cash gains and other extraordinary items.
Quarterly EBITDA means for any Financial Quarter the income of the Group before Net Interest, before any provision on account of taxation and before any amount attributable to the amortisation of intangible assets and depreciation of tangible assets.
Quarterly EBITDA shall have the meaning ascribed to such term in Section 2.7(2).

Quarterly EBITDA means, for the one fiscal quarter ending on the date of determination, the sum of Consolidated Net Income plus, without duplication, each of the following to the extent actually deducted in determining Consolidated Net Income, (a) Consolidated Interest Expense; (b) provisions for taxes based on income or revenues; (c) the amount of all depreciation and amortization expense deducted in determining Consolidated Net Income; (d) charges taken in accordance with SFAS 142 and SFAS 144, which when taken together with all other charges previously taken in connection with SFAS 142 and SFAS 144, do not, in the aggregate, exceed $850,000,000; (e) without duplication, Quarterly Permitted Charges; and (f) without duplication, Non-Cash Charges, all calculated on a consolidated basis for the Borrower and its Subsidiaries and as determined in accordance with GAAP.   • TTM EBITDA means, as of any date of determination, EBITDA of Borrower determined on a consolidated basis in accordance with GAAP, for the 12 month period most recently ended.

  • LTM EBITDA means Consolidated EBITDA of the Company measured for the period of the most recent four consecutive fiscal quarters ending prior to the date of such determination for which internal consolidated financial statements of the Company are available, in each case with such pro forma adjustments giving effect to such Indebtedness, acquisition or Investment, as applicable, since the start of such four quarter period and as are consistent with the pro forma adjustments set forth in the definition of “Fixed Charge Coverage Ratio.”

  • Adjusted EPS means earnings per share further adjusted for share-based payments, amortization of acquired intangible assets, items outside the normal scope of our ordinary activities (including other items, within selling, general and administrative expenses, losses/(gains) on items held at fair value and remeasurements through profit and loss, impairment losses on tangible assets, and impairment losses on intangible assets) and the related tax effects of these adjustments.
