Professional Costs definition

Professional Costs means all reasonable fees and expenses of auditors, accountants, valuation experts, Collateral disposition service providers, restructuring and other advisory services in connection with restructurings, workouts and Insolvency Proceedings, and fees and costs of attorneys.
Professional Costs means the costs recoverable by a worker in respect of the work undertaken by a legal practitioner;
Professional Costs means any professional fees and expenses incurred by the Company or any of its Subsidiaries and any official committee appointed in the Chapter 11 Cases, including investment banking fees and expenses, fees and expenses of any Chief Restructuring Officer (or similar restructuring professional, collectively the "Estate Professionals") and professional fees and expenses of counsel and financial advisors to secured creditors payable by the Sellers (sometimes referred to as the "adequate protection costs"), in each case, (x) for the period from September 1, 2003 to the Petition Date and (y) in the case of the professional fees and expenses of counsel and financial advisors to secured creditors (the "Creditor Professionals"), payable by the Sellers after the Petition Date pursuant to one or more Orders of the Bankruptcy Court providing for the use of cash collateral and (z) in the case of the Estate Professionals, from and after the Petition Date.

Examples of Professional Costs in a sentence

  • For each billing period, BioTime shall equitably prorate and allocate its Employee Costs, Equipment Costs, Insurance Costs, Lease Costs, Professional Costs, Software Costs, Supply Costs, and Utilities Costs, between BioTime and AgeX based upon actual documented use and cost by or for AgeX or upon proportionate usage by BioTime and AgeX, as reasonably estimated by BioTime.

  • Without the prior approval of the Requisite Lenders, the fees of A&M shall not exceed $200,000 per month, and no other Specified Professional Costs shall be paid unless approved by the Requisite Lenders.

  • Seller shall not be responsible to reimburse the Buyer for more than $500,000 of Professional Costs.

  • To the extent that the Professional Costs Paid Amount is less than $4,900,000, the Purchase Price shall be increased dollar-for-dollar by the Professional Costs Incurred Amount; provided, however, that the sum of such increase plus the Professional Costs Paid Amount shall not exceed $4,900,000.

  • In the event a dispute regarding claimed Professional Costs cannot be resolved, the dispute shall be addressed pursuant to the process outlined in Sections 4.3(a) and 4.4(b) hereof.

Professional Costs means all costs and expenses of GOLD related to the transactions contemplated by this Agreement including expenses for attorneys, accountants, and financial advisers.

Related to Professional Costs

  • Professional Services Fees means the fees for Professional Services described as such in the applicable Product Order.

  • Professional Fees means amounts billed or to be billed to a client for legal services provided or to be provided to the client by the lawyer or the lawyer’s firm;

  • Professional Engineer means a person entitled to practise as a Professional Engineer in the Province of Ontario under a licence issued under the Professional Engineers Act;
