Definition of PostTermination Distribution


PostTermination Distribution means a cash distribution during the PostTermination Transition Period as set forth in Section 1371(e) of the Code to the extent it does not exceed the AAA.

Examples of PostTermination Distribution in a sentence

Post-Termination Distribution shall mean a cash distribution during the Post-Termination Transition Period as set forth in Section 1371(e) of the Code to the extent it does not exceed the AAA.
Notwithstanding anything to the foregoing, any payment made by the Company to the Shareholders pursuant to Section 4.3 of this Agreement must be made during the Post-Termination Transition Period and will be treated as a Post-Termination Distribution for U.S. federal income tax purposes.
Post-Termination Distribution means a cash distribution to a Shareholder by the Company with respect to the Companys stock during the Post-Termination Transition Period as set forth in Section 1371(e) of the Code to the extent such distribution does not exceed the AAA of the Company as of the date of distribution.

The amount of the In-Service Withdrawal or Accelerated Post-Termination Distribution (and not the forfeited amount) shall be reduced by subject to applicable Federal and state income tax withholding.
