Placed in Service Failure Period definition

Placed in Service Failure Period means a period commencing on any Calculation Date when the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for the related Collection Period and ending on the next succeeding Calculation Date when the New Construction Solar Asset Event Ratio is less than [***]% for the related Collection Period; provided, that no Placed in Service Failure Period shall be in effect if the New Construction Solar Asset Event Ratio is equal to or greater than [***]% for a Collection Period immediately succeeding a Takeout Transaction that includes a material portion of New Construction Solar Assets included in the Borrowing Base immediately prior to such Takeout Transaction (as determined by the Administrative Agent in its reasonable discretion). Placed in Service Failure Period means a period commencing on any Calculation Date when the New Construction Solar Asset Event Ratio is equal to or greater than 15% for the related Collection Period and ending on the next succeeding Calculation Date when the New Construction Solar Asset Event Ratio is less than 15% for the related Collection Period; provided, that no Placed in Service Failure Period shall be in effect if the New Construction Solar Asset Event Ratio is equal to or greater than 15% for a Collection Period immediately succeeding a Takeout Transaction that includes a material portion of New Construction Solar Assets included in the Borrowing Base immediately prior to such Takeout Transaction (as determined by the Administrative Agent in its reasonable discretion).

Related to Placed in Service Failure Period

  • Service Failure means a failure by the Contractor to provide the Services in accordance with any individual service level described above (measured on a monthly/quarterly/annual basis)

  • Daily Failure Amount means the product of (x) .005 multiplied by (y) the Closing Sale Price of the Common Stock on the applicable Share Delivery Date.

  • Volume Failure means, with respect to a particular date of determination, the aggregate daily dollar trading volume (as reported on Bloomberg) of the Common Stock on the Principal Market on any Trading Days during the five (5) Trading Day period ending on the Trading Day immediately preceding such date of determination (such period, the “Volume Failure Measuring Period”), is less than $250,000 (as adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the Subscription Date). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during such Volume Failure Measuring Period.

  • Listing Failure Event means that:

  • Milestone Failure means a failure by the Grant Recipient fully to achieve any Milestone by the relevant Milestone Date;

  • Transaction Failure Date means the 18-month anniversary of the Effective Date (or the 24 month anniversary of the Effective Date, if a letter of intent, agreement in principle or definitive agreement has been executed within 18 months after the Effective Date and the Business Combination relating thereto has not yet been consummated within such 18-month period).

  • Service Level Failure means a failure to perform the Software Support Services fully in compliance with the Support Service Level Requirements.

  • Supply Failure has the meaning given to it in Section 7.5.2 (Supply Failure).

  • Price Failure means, with respect to a particular date of determination, the VWAP of the Common Stock on any Trading Day during the seven (7) Trading Day period ending on the Trading Day immediately preceding such date of determination fails to exceed the Floor Price (as adjusted for stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions occurring after the date hereof). All such determinations to be appropriately adjusted for any stock splits, stock dividends, stock combinations, recapitalizations or other similar transactions during any such measuring period.

  • Rectification Period means the period of time set out in Section 4.3 of this RFP during which a Proponent will be permitted to rectify its Proposal to satisfy the mandatory submission requirements of this RFP.

  • Extended Reporting Period means a designated period of time after a claims-made policy has expired during which a claim may be made and coverage triggered as if the claim has been made during the policy period.

  • Extended Period As defined in Section 9.04(b).

  • Persistent Failure means any two (2) or more failures by the Supplier in any rolling period of twelve (12) months to comply with obligations in respect of the Contract Services under the Contract;

  • Availability Termination Date means, as to any Borrower, the earlier of (a) the Maturity Date for such Borrower, (b) the reduction of the Borrower Sublimit of such Borrower to zero pursuant to Section 2.8.3 or termination of the obligation to make Loans to, or issue Letters of Credit for the account of, such Borrower pursuant to Section 8.1 and (c) the date of termination in whole of the Aggregate Commitment and the Commitments pursuant to Section 2.8.3 or Section 8.1.

  • Reporting Failure has the meaning set forth in Section 2.4.

  • Peak Period means the time between 6 a.m. and 10 p.m. (April through September) or between 7 a.m. and 11 p.m. (October through March) on all days except Saturdays and Sundays, which daily time period will be subject to change from time to time at the Company's option. This change would occur after no less than ten (10) days notice has been given to all Customers who would be affected, and to the Commission.

  • Certification period means the period for which an individual is certified eligible for a program.

  • Curtailment Period means the period of time during which Seller reduces generation from the Project, pursuant to a Curtailment Order. The Curtailment Period shall be inclusive of the time required for the Project to ramp down and ramp up; provided that such time periods to ramp down and ramp up shall be consistent with the Ramp Rate designated in the Cover Sheet.

  • Event Period shall have the meaning assigned to such term in Section 7.2 hereof.

  • Termination Assistance Period means the period commencing upon the expiration or termination of this Agreement and each Statement of Work and expiring six (6) months thereafter, as such period may be extended by the Parties.
