Permitted Government Investment definition

Permitted Government Investment means the obligations of the United States of America for the payment of which the full faith and credit of the United States of America is pledged, maturing in not more than 60 days or such lesser time as is necessary for payment of any Special Payments on a Special Distribution Date.

POWERTON FACILITY: Means the 1,538 MW net coal-fired electric-generating station in Pekin, Illinois. POWERTON GENERATION I: Means Powerton Generation I, LLC, a Delaware limited liability company, and any successors and assigns permitted by the applicable Participation Agreement. POWERTON GENERATION II: Means Powerton Generation II, LLC, a Delaware limited liability company, and any successors and assigns permitted by the applicable Participation Agreement. POWERTON TRUST: Means one or more as the context may require, of Powerton Trust I and Powerton Trust II. POWERTON TRUST I: Means Powerton Trust I, a Delaware business trust. POWERTON TRUST II: Means Powerton Trust II, a Delaware business trust. POWERTON UNDIVIDED INTEREST: Means, as the context may require, the 63.6% undivided ownership interest of Powerton Trust I in the Powerton Facility and the 36.4% undivided ownership interest of Powerton Trust II in the Powerton Facility. PURCHASE AGREEMENT: Means the Purchase Agreement dated August 17, 2000 among the representatives of the Initial Purchasers, the Company and EME, as the same may be implemented, supplemented or otherwise modified from time to time in accordance with its terms. RECORD DATE: Means (i) for Scheduled Payments to be distributed on any Distribution Date, other than the final distribution, the day (whether or not a Business Day) which is 15 days preceding such Distribution Date, and (ii) for Special Payments to be distributed on any Special Distribution Date, other than the final distribution, the day (whether or not a Business Day) which is 15 days preceding such Special Distribution Date. REGISTER AND REGISTRAR: Means the register maintained and the registrar appointed pursuant to Sections 3.4 and 7.12. REGISTRATION RIGHTS AGREEMENT: Means the Exchange and Registration Rights Agreement dated as of August 17, 2000, among the representatives of the Initial Purchasers, the Company and EME, as amended, supplemented or otherwise modified from time to time in accordance with its terms.

  • U.S. Government Securities Business Day means any day except for (a) a Saturday, (b) a Sunday or (c) a day on which the Securities Industry and Financial Markets Association recommends that the fixed income departments of its members be closed for the entire day for purposes of trading in United States government securities.

  • Nonpurpose Investment means any investment property, as defined in section 148(b) of the Code, in which Gross Proceeds of the Bonds are invested and which is not acquired to carry out the governmental purposes of the Bonds.

  • Loss of Government property means unintended, unforeseen or accidental loss, damage or destruction to Government property that reduces the Government’s expected economic benefits of the property. Loss of Government property does not include purposeful destructive testing, obsolescence, normal wear and tear or manufacturing defects. Loss of Government property includes, but is not limited to—

  • Foreign Government Securities means with respect to Subordinated Debt Securities of any series that are denominated in a Foreign Currency, non-callable (i) direct obligations of the participating member state or government that issued such Foreign Currency for the payment of which obligations its full faith and credit is pledged or (ii) obligations of a Person controlled or supervised by and acting as an agency or instrumentality of such participating member state or government, the payment of which obligations is unconditionally guaranteed as a full faith and credit obligation of such participating member state or government. For the avoidance of doubt, for all purposes hereof, euro shall be deemed to have been issued by each participating member state from time to time.

  • Long-Term U.S. Government Securities means U.S. Government Securities maturing more than one year from the applicable date of determination.

  • Permitted Business Investment means any Investment made in the ordinary course of, and of a nature that is or shall have become customary in, the Oil and Gas Business including investments or expenditures for actively exploiting, exploring for, acquiring, developing, producing, processing, gathering, marketing or transporting oil, natural gas or other Hydrocarbons and minerals through agreements, transactions, interests or arrangements which permit one to share risks or costs, comply with regulatory requirements regarding local ownership or satisfy other objectives customarily achieved through the conduct of the Oil and Gas Business jointly with third parties including:

  • Short-Term U.S. Government Securities means U.S. Government Securities maturing within one year of the applicable date of determination.

  • Permitted Business Investments means Investments by the Company or any of its Restricted Subsidiaries in any Unrestricted Subsidiary of the Company or in any Joint Venture, provided that:

  • Developed exclusively with government funds means development was not accomplished exclusively or partially at private expense.

  • Special Purpose Investment Personnel means each SEI Access Person who, in connection with his or her regular functions (including, where appropriate, attendance at Board meetings and other meetings at which the official business of a Trust or any Fund thereof is discussed or carried on), obtains contemporaneous information regarding the purchase or sale of a Security by a Fund. Special Purpose Investment Personnel shall occupy this status only with respect to those Securities as to which he or she obtains such contemporaneous information.

  • Permitted Investment means an Investment by the Company or any Restricted Subsidiary in:

  • Qualified United States financial institution means an institution that:

  • Affiliated Money Market Fund any existing or future Trust that holds itself out as a money market fund and complies with Rule 2a-7 under the Investment Company Act of 1940, as amended;

  • Foreign Government Obligations means, with respect to Securities of any Series that are denominated in a Foreign Currency, direct obligations of, or obligations guaranteed by, the government that issued or caused to be issued such currency for the payment of which obligations its full faith and credit is pledged and which are not callable or redeemable at the option of the issuer thereof.

  • United States Government Obligations means bonds, notes, certificates of indebtedness, treasury bills or other securities constituting direct obligations of, or obligations the principal of and interest on which are fully and unconditionally guaranteed as to full and timely payment by, the United States of America, including evidences of a direct ownership interest in future interest or principal payment on obligations issued by the United States of America (including the interest component of obligations of the Resolution Funding Corporation), or securities which represent an undivided interest in such obligations, which obligations are rated in the highest rating category by a nationally recognized rating service and such obligations are held in a custodial account for the benefit of the Issuer.

  • Foreign government means any jurisdiction other than the one embraced within the United States, its territories, and its possessions.

  • U.S. Government Securities means securities that are direct obligations of, and obligations the timely payment of principal and interest on which is fully guaranteed by, the United States or any agency or instrumentality of the United States the obligations of which are backed by the full faith and credit of the United States and in the form of conventional bills, bonds, and notes.

  • European Government Obligations means direct obligations (or certificates representing an ownership interest in such obligations) of a member state of the European Union (including any agency or instrumentality thereof) for the payment of which the full faith and credit of such government is pledged. For purposes of this Supplemental Indenture and the Notes, references in the Base Indenture to “Government Obligations” shall be deemed to refer to “European Government Obligations.”

  • Council of governments means a decision-making body in each county composed of membership including the county governing body and the mayors of each municipality in the county.
