Parent Expense Amount definition

Parent Expense Amount means ten million dollars ($10,000,000).

Parent Expense Amount means (i) 100% of the amount of Expenses of Parent up to $2,500,000 and (ii) 50% of all Expenses of Parent exceeding $2,500,000; provided that the aggregate Parent Expense Amount shall not exceed $5,000,000.

Parent Expense Amount means reasonable documented out-of-pocket Expenses actually incurred by the Parent Parties up to a maximum of $10,000,000 in the aggregate.

• Parent and the Company shall use their commercially reasonable efforts to assure that, as mutually determined by Parent and the Company, Parent will have sufficient funds at the Closing to pay the Outstanding Parent Expense Amount and the Outstanding Company Expense Amount in full.

• In the event of the termination of this Agreement by the Company pursuant to Section 7.1(f), the Company shall reimburse and pay to Parent an amount equal to the lesser of (i) the out-of-pocket costs and expenses incurred by Parent in connection with this Agreement and the transactions contemplated hereby, and (ii) $2,000,000 (such amount, the "Parent Expense Amount").

More Definitions of Parent Expense Amount

Parent Expense Amount means the reasonable, documented out-of-pocket Expenses actually incurred by Parent, not to exceed $8,000,000.

Parent Expense Amount means the amount of Expenses of Parent up to $10,000,000.

Parent Expense Amount means the actual, out-of-pocket expenses of the Parent incurred in connection with the negotiation, execution and delivery of this Agreement and the consummation of the transactions contemplated herein, provided that the Parent Expense Amount shall not exceed $1,000,000.

Parent Expense Amount means all reasonable, actual and documented out-of-pocket costs and expenses, up to an aggregate maximum amount of $10,000,000, incurred prior to the termination of this Agreement by or on behalf of Parent, REIT Merger Sub, OP Merger Sub, DownREIT Merger Sub and other Equity Investors (or their respective Affiliates) in connection with this Agreement and the transactions contemplated hereby, including reasonable, actual and documented out-of-pocket fees and expenses of counsel, investment banking firms, financial advisors, accountants and consultants.

Parent Expense Amount means an amount equal to the lesser of (i) $5,000,000 and (ii) fifty percent (50%) of the Transaction Expenses.

Parent Expense Amount means the actual documented, out-of-pocket expenses incurred by or on behalf of the Parents or their respective affiliates relating to the transactions contemplated by this Agreement (including, but not limited to, all reasonable fees and expenses of the Parents’ counsel, accountants, financial advisors, financing sources, hedging counterparties, experts and consultants) up to a maximum of six million dollars ($6,000,000). For the avoidance of doubt, in no event shall the Company be required to pay the Parent Expense Amount on more than one occasion. If the Company subsequently becomes obligated to pay the Termination Fee pursuant to Section 7.2(a)(i) above, then the Company shall receive credit to the extent of the Parent Expense Amount actually paid to the Parents pursuant to this Section 7.2(b).
