Financing Sources definition

Financing Sources means the entities that commit or have committed to provide or arrange or otherwise have entered into or will enter into agreements in connection with all or any part of the Debt Financing, including the parties to any joinder agreements, indentures or credit agreements pursuant thereto or relating thereto, together with their respective affiliates, and their and their respective affiliates’ officers, directors, employees, agents and representatives and their respective successors and assigns.
Financing Sources means the entities that have committed to provide or otherwise entered into agreements in connection with the Financing or other financings in connection with the transactions contemplated hereby, including the parties to the Commitment Letter and any joinder agreements or credit agreements (including the Definitive Agreements) relating thereto.
Financing Sources means any agent, arranger, lender or other entity that has committed to provide or arrange, or has entered into definitive agreements related to, the Debt Financing, or any of such Person’s Affiliates or its or their respective officers, directors, employees, partners, trustees, shareholders, controlling persons, agents, representatives, successors or assigns.

Examples of Financing Sources in a sentence

  • For the avoidance of doubt, nothing in this Section 11.16 shall limit the rights of the Company Group after Closing against the Financing Sources under this Agreement, the Debt Financing, the Debt Commitment Letter or any of the transactions contemplated hereby or thereby or the performance of any services thereunder.

  • As of the Effective Date, none of the Financing Sources has notified Purchaser of (1) its intention to terminate its respective commitment with respect to the Debt Financing or not to provide its respective portion of the Debt Financing on the Closing Date or (2) any default or breach under the Debt Financing Letters or a failure of any term or condition thereunder.


More Definitions of Financing Sources

Financing Sources shall have the meaning set forth in Section 5.5(a).
Financing Sources means the Debt Financing Sources and the Equity Financing Sources.
Financing Sources means the Persons that have committed to provide or arrange or otherwise entered into agreements in connection with the Debt Financing, the Debt Financing Commitment or other financings (including, for the avoidance of doubt, any alternative debt financings pursuant to Section 6.12) in connection with the transactions contemplated hereby, including the parties to any commitment letters, engagement letters, joinder agreements, indentures or credit agreements entered pursuant thereto or relating thereto, together with their respective Affiliates, and their respective Affiliates’ officers, directors, employees, agents and representatives and their respective successors and assigns.
Financing Sources means the agents, arrangers, lenders and other entities that have committed to provide or arrange the Debt Financing (including any such person that becomes a party to the Debt Commitment Letter after the date hereof or any joinder agreement or credit agreement entered into pursuant thereto, but excluding Parent and Sub), together with their respective affiliates and their and their respective affiliates’ officers, directors, employees, controlling persons and representatives and their respective successors and assigns.
Financing Sources has the meaning set forth in Section 4.14(a).
Financing Sources means the Persons that have entered into or will enter into commitment letters, credit agreements, indentures or other agreements with Parent and/or one or more subsidiaries of Parent in connection with the Debt Financing, including any applicable agents, arrangers, lenders, underwriters, initial purchasers and other entities that provide or arrange all or part of the Debt Financing and their respective Representatives, Affiliates, successors and assigns; provided, that neither Parent nor any Affiliate of Parent shall be a Financing Source.
Financing Sources has the meaning specified in the Master Collateral Agency Agreement.
