Financing Sources definition

Financing Sources means any agent, arranger, lender or other entity that has committed to provide or arrange, or has entered into definitive agreements related to, the Debt Financing, or any of such Person’s Affiliates or its or their respective officers, directors, employees, partners, trustees, shareholders, controlling persons, agents, representatives, successors or assigns.
Financing Sources means the Persons (including the parties to the Commitment Letter) that have committed to provide or otherwise entered into agreements in connection with the Financing, or alternative financings in connection with the transactions contemplated by this Agreement, and any joinder agreements, indentures or credit agreements entered into pursuant thereto or relating thereto together with their Affiliates, officers, directors, employees and representatives involved in the Financing and their successors and assigns.
Financing Sources means the financial institutions that have committed to provide (directly or indirectly), or otherwise entered into agreements in connection with the Financing or other financings in connection with the transactions contemplated by this Agreement, including the financial institutions party to the Financing Letter, together with their Affiliates and Representatives and their successors and assigns, and any joinder agreements or credit agreements relating thereto.

Examples of Financing Sources in a sentence

  • Except as expressly set forth in the Debt Commitment Letter, there are no conditions or other contingencies to the obligations of the Debt Financing Sources to fund the full amount of the Committed Debt Financing at the Closing and there are no side letters or other contracts, instruments or other commitments, obligations or arrangements (whether written or oral) related to the funding, investing or use of the Debt Financing.

  • For the avoidance of doubt, the provisions of this Section 12.13 shall apply only to lenders or other Financing Sources or Financing Sources Related Parties with respect to debt financing, and not to any investor in, subscriber for, or purchaser of, any equity financing, in each case, in their capacities as such.

More Definitions of Financing Sources

Financing Sources shall have the meaning set forth in Section 5.5(a).
Financing Sources means the Persons that have committed to provide or arrange or otherwise entered into agreements in connection with the Debt Financing, the Debt Financing Commitment or other financings (including, for the avoidance of doubt, any alternative debt financings pursuant to Section 6.12) in connection with the transactions contemplated hereby, including the parties to any commitment letters, engagement letters, joinder agreements, indentures or credit agreements entered pursuant thereto or relating thereto, together with their respective Affiliates, and their respective Affiliates’ officers, directors, employees, agents and representatives and their respective successors and assigns.
Financing Sources means any entities that have committed to provide or otherwise entered into agreements to provide the Permanent Financing, including the banks party to the Debt Commitment Letter and any joinder agreements or credit agreements (including the definitive agreements executed in connection with the Debt Commitment Letter) relating thereto, and the Affiliates and controlling persons of the foregoing, and their respective successors and assigns;
Financing Sources means the Debt Financing Sources and the Equity Financing Sources.
Financing Sources means the Persons (and their agents and arrangers) that have committed to provide or arrange any of the Financing or have otherwise entered into agreements (including any debt commitment letters or other debt financing documents contemplated thereby or any joinder agreement, indenture or credit agreement pursuant thereto) in connection with all or any part of the Financing, including the parties to any joinder agreements, indentures or credit agreements entered into in connection therewith and the lenders thereunder; provided, however, that in no event shall the Financing Sources include Parent, Acquisition Sub, or their Affiliates.
Financing Sources has the meaning set forth in Section 4.14(a).
Financing Sources means the Persons that have entered into or will enter into commitment letters, credit agreements, indentures or other agreements with Parent and/or one or more subsidiaries of Parent in connection with the Debt Financing, including any applicable agents, arrangers, lenders, underwriters, initial purchasers and other entities that provide or arrange all or part of the Debt Financing and their respective Representatives, Affiliates, successors and assigns; provided, that neither Parent nor any Affiliate of Parent shall be a Financing Source.
