Other LC Fees has the meaning set forth in Section 1.7(e).
Other LC Fees has the meaning set forth in Section 2.04(k).
Letter of Credit Fees shall have the meaning set forth in Section 3.2.
Facility Fees has the meaning provided in Section 2.11(a).
LC Fee is defined in Section 2.19.4.
L/C Fees has the meaning set forth in Section 3.4(c).
Letter of Credit Fee has the meaning specified in Section 2.03(h).
Letter of Credit Undrawn Amounts means, at any time, the aggregate undrawn face amount of all Letters of Credit outstanding at such time.
Drawing Fee means, with respect to each Draft drawn by TCCI and purchased by any Person on any Drawing Date and subject to the provisions of Section 2.15, an amount equal to the product of (i) the Applicable Rate times the aggregate Face Amount of the Draft, multiplied by (ii) a fraction the numerator of which is the number of days in the term to maturity of such Draft and the denominator of which is 365 or 366, as applicable.
Commitment Fees has the meaning set forth in Section 2.11(a).
Applicable Letter of Credit Fee Rate shall mean the percentage rate per annum based on the Leverage Ratio then in effect according to the pricing grid on Schedule 1.1(A) below the heading “Letter of Credit Fee.” Applicable Margin shall mean, as applicable:
Letter of Credit Liabilities means, for any Lender and at any time, such Lender’s ratable participation in the sum of (x) the amounts then owing by the Borrower in respect of amounts drawn under Letters of Credit and (y) the aggregate amount then available for drawing under all Letters of Credit.
Ancillary Fees With respect to any Serviced Loan, any and all demand fees, beneficiary statement charges, fees for insufficient or returned checks and other usual and customary charges and fees (other than Modification Fees, Consent Fees, Penalty Charges, Assumption Fees, assumption application fees and defeasance fees) actually received from the related Mortgagor.
Letter of Credit Reimbursement Agreement has the meaning specified in Section 2.4(e).
Letter of Credit Liability means, without duplication, at any time and in respect of any Letter of Credit, the sum of (a) the undrawn face amount of such Letter of Credit, plus (b) the aggregate unpaid principal amount of all Reimbursement Obligations of Borrower at such time due and payable in respect of all drawings made under such Letter of Credit.
Reimbursement Obligations means, at any time, the aggregate of all obligations of the Borrower then outstanding under Section 2.20 to reimburse the LC Issuer for amounts paid by the LC Issuer in respect of any one or more drawings under Facility LCs.
Unused Letter of Credit Subfacility means an amount equal to the Letter of Credit Subfacility minus the sum of (a) the aggregate undrawn amount of all outstanding Letters of Credit plus, without duplication, (b) the aggregate Unpaid Drawings obligations with respect to a Letters of Credit.
Agent's Fees shall have the meaning assigned to such term in Section 3.5(c).
Facility Fee has the meaning specified in Section 2.09(a).
Letter of Credit Fee Rate means, at any time, the percentage rate per annum applicable to Letter of Credit Fees at such time as set forth in the Pricing Schedule.
Reimbursement Date as defined in Section 2.3.2.
Applicable Facility Fee means the percentage set forth in the table below corresponding to the Level at which the “Applicable Margin” is determined in accordance with the definition thereof: Level Facility Fee 2 0.125% 3 0.150% 4 0.200% 5 0.250%
Letter of Credit Default means with respect to a Letter of Credit, the occurrence of any of the following events:
Letter of Credit Indemnified Costs has the meaning specified therefor in Section 2.11(f) of the Agreement.
Commitment Fee has the meaning specified in Section 2.09(a).
Fees means all amounts payable pursuant to, or referred to in, Section 4.1.
Facing Fee shall have the meaning provided in Section 3.01(c).
