Option Exercise Window definition

Option Exercise Window means such period as the Board shall determine and notify to Participants;
Option Exercise Window means: (i) the period of twenty-four (24) months commencing from the first anniversary from the Date of Grant and ending within six (6) months from the Final Vesting Date where the Option vests in accordance with Rule 6.1 and the Vesting Schedule; or (ii) the period of six (6) months commencing on the Exit Date where the Option vests in accordance with Rule 6.3 hereof, as the case may be;
Option Exercise Window has the meaning set forth in Section 4.1.1, below.

Examples of Option Exercise Window in a sentence

  • Unless otherwise agreed by the Parties in writing, if Amerimmune does not exercise the Option during the Option Exercise Window, then all rights in the Histogen Intellectual Property shall revert to Histogen, and this Agreement shall automatically and concurrently terminate with the expiration of the Option Exercise Window.

  • Amerimmune shall have the right, but not the obligation, to exercise the Option by delivering written notice of such exercise to Histogen (the “Option Exercise Notice”) during the Option Exercise Window.

  • During such Selected Target Option Exercise Window, Gilead shall have the right to exercise the Option for the applicable Arcus Program in accordance with ARTICLE VIII.

  • For each Selected Target, if a Target Program Data Package is delivered to Gilead pursuant to Section 8.3(b)(ix) prior to delivery of a Validation Data Package for such Selected Target, Gilead’s right to replace such Selected Target shall expire concurrent with the expiration of the Selected Target Option Exercise Window for such Selected Target.

  • If after attempting to trade on the proposed COVAX Exchange, a Participant chooses not to acquire any doses from a vaccine candidate during the Option Exercise Window, then the Participant will also forfeit their allocation of Prepaid Doses from such candidate.

  • If Celgene does not exercise an Option during the applicable Option Exercise Window, then the corresponding Designated Development Program or Continuation Program shall be dropped from the Collaboration in accordance with Section 2.12 and shall no longer be subject to Celgene’s rights under this Agreement, including ARTICLE V and all rights thereto shall revert to Agios in accordance with Section 2.12.

  • For the avoidance of doubt, a Participant will be obliged to exercise a Purchase Option if it does not deliver to Gavi a Non-Exercise Notice during the Option Exercise Window.

  • Celgene shall have the right, but not the obligation, to exercise the Option for a given Qualified Early Exercise I&I Program by delivering an Option Exercise Notice to Agios within the Early Option Exercise Window.

  • If a Participant does not provide its Risk Sharing Guarantee within the deadline, then Gavi may either: (i) following an assessment of the Participant’s risk profile and creditworthiness, terminate the relevant Commitment Agreement; or (ii) elect that the Participant will not receive Purchase Options and therefore the ability to decide whether to purchase vaccine during the Option Exercise Window from any agreement with manufacturers that it is party to.

  • The Parties acknowledge and agree that the Extension Option Exercise Window shall commence on January 5, 2024, and expire on April 4, 2024.

Option Exercise Window means the time period within which a Party may exercise its Option with respect to a Program [***] as follows:
Option Exercise Window means the period from expiry of the Participant’s ability to issue a Non-Participation Notice pursuant to Clause 2.2(b)(iii) to the date notified by ▇▇▇▇ to the Participant in the relevant Purchase Opportunity or Purchase Option (as determined by Gavi at the time).
