Customer shall pay Optasia Medical all fees specified in the COS, including without limitation, support and maintenance fees (“Support Fees”) and the fees for any services specified in the COS (“Service Fees”).
Customer agrees to minimally accept and implement any Optasia Medical Updates made generally available by Optasia Medical to its end users subject to the terms and conditions of this Agreement on each consecutive third anniversary of the effective date of the COS.

Notwithstanding the foregoing, Optasia Medical may assign this Agreement and COS in the event of a merger, sale of all or substantially all of the stock, assets or business, or other reorganization involving Optasia Medical in which Optasia Medical is not the surviving entity, and Customer’s prior written consent shall not be required in such instance.

No employee, agent, representative or affiliate of Optasia Medical has the authority to bind Optasia Medical to any oral representations or warranty concerning the Software or Services.
