Offering Stage definition

Offering Stage means the period from the commencement of the Company’s initial public equity offering through the termination of the Company’s last public equity offering prior to Listing. For purposes of this definition, “public equity offering” does not include offerings on behalf of selling Stockholders or offerings related to a distribution reinvestment plan, employee benefit plan or the redemption of interests in the Partnership.”
Offering Stage means the period from commencement of the Initial Public Offering until the completion of an Offering that is followed by a period of 18 months without the Company commencing a new Offering. For purposes of this definition, “Offering” does not include offerings on behalf of selling stockholders or offerings related to any dividend reinvestment plan, employee benefit plan or the redemption of interests in the Partnership.

Examples of Offering Stage in a sentence

  • If the Shares are not Listed and the Offering Stage has been completed for 12 month at such time, the Shares shall be valued at a price per share equal the published annual estimated value of the shares as determined by the Advisor based upon the Appraised Value of the Assets on the date of election.

  • If the Shares are not Listed and the Company is still in its Offering Stage at such time, the Advisor will estimate the per share value of the Shares at a price per share equal the most recent price paid to acquire a Share (excluding any Shares sold at a purchase price discounts for certain categories of purchasers).

  • If the Shares are not Listed and the Offering Stage has been completed for more than twelve (12) months at such time, the Shares shall be valued at a price per share equal to the estimated value of the shares as reasonably determined by the Advisor on the date of election, based upon the most recent Appraised Value of the Company.

  • If the Shares are not Listed and the Company is still in its Offering Stage, and for the twelve-month period following the termination of the Offering Stage, at such time, the Advisor will estimate the per share value of the Shares at a price per share equal the most recent price paid to acquire a Share during the Offering Stage (excluding any Shares sold pursuant to any distribution reinvestment plan or sold with purchase price discounts).

  • If the Shares are not Listed and the Offering Stage has been completed for twelve (12) months at such time, the Shares shall be valued at a price per share equal the published annual estimated value of the shares as determined by the Advisor based upon the Appraised Value of the Properties on the date of election.

  • The Asset Management Fee shall be payable by the Company in cash or in Shares, in whole or in part, at the election of the Advisor from time to time (without interest); provided, however, that the Company may object to the Advisor’s election and refuse to pay the Advisor in Shares if such payment would result in a conflict with any provision of the Articles of Incorporation; and provided, further, that after the Offering Stage, the Asset Management Fee shall be paid entirely in cash.

  • If the Advisor elects to receive the Asset Management Fee in the form of Shares during the Offering Stage and such election does not conflict with any provision of the Articles of Incorporation, then the price per share for Shares issued pursuant to the Asset Management Fee shall equal the most recent price paid to acquire a Share during the Offering Stage, less any selling commissions or dealer manager fees (excluding any Shares sold pursuant to any distribution reinvestment plan).

  • The Company agrees not to solicit any current and/or future employees of the Advisor or its Affiliates for employment or in any consulting or similar capacity during the Offering Stage and for two (2) years following the termination of this Agreement.

Related to Offering Stage

  • Offering Statement means the offering statement on Form 1-A (File No. [_________]) filed by the Company with the Commission on [_________], and the offering circular filed pursuant to Rule 253(g)(2) of the Securities Act on [_________], pursuant to which the Company has qualified for sale a maximum of $50,000,000 of its Common Shares under Regulation A of the Securities Act, as such offering statement may be amended or supplemented from time to time, or such other offering statements that the Company may qualify or register under the Securities Act from time to time.

  • Offering Shares means the shares of Common Stock issued to the Purchasers pursuant to the Subscription Agreements, and any shares of Common Stock issued or issuable with respect to such shares upon any stock split, dividend or other distribution, recapitalization or similar event with respect to the foregoing.

  • Offering shall have the meaning ascribed to such term in Section 2.1(c).

  • Rights Offering Shares means, collectively, the shares of New Common Stock issued in the Rights Offering.

  • Public Offering Price means the price per Share of the Fund at which NLD or selected dealers or selected agents may sell Shares to the public or to those persons eligible to invest in Shares as described in the Prospectus of the Funds, determined in accordance with such Prospectus under the Securities Act relating to such Shares.

  • Net Offering Proceeds means all cash or other assets received by General Partner or Borrower as a result of the issuance or sale of common shares of beneficial interest, preferred shares of beneficial interest, partnership interests, preferred partnership units, limited liability company interests, Convertible Securities or other ownership or equity interests in General Partner or Borrower less customary costs and discounts of issuance paid by General Partner or Borrower, as the case may be.

  • Underwritten Shelf Takedown shall have the meaning given in subsection 2.3.3.

  • Qualified Initial Public Offering means any initial public offering of securities by the Company pursuant to an effective Registration Statement covering the sale of such securities, pursuant to which the Company shall actually receive aggregate net cash proceeds (not subject to any contingencies) equal to no less than $50,000,000.
