NSC Directors definition

NSC Directors has the meaning ascribed thereto in Section 4.2.

  • Any action or decision of the CRC Board, whether at a meeting of the CRC Board or by written consent, may only be taken if approved by a majority of CSX Directors and a majority of NSC Directors.

  • If the office of any NSC Director becomes vacant, the remaining NSC Directors by a majority vote may appoint any qualified individual to fill such vacancy, and such individual shall hold office for the unexpired term and until his or her successor shall be duly chosen.

  • Disinterested Board Members means those members of the Board of a Fund that are not deemed to be "interested persons" of the Fund, as defined by the Act.

  • Nominating Committee means the nominating committee of the board of directors of the Company established pursuant to the Articles, or any successor committee.

  • External Directors means directors appointed and serving in accordance with Sections 239 through 249 of the Companies Law.

  • Independent Board Committee means the independent board committee of the Company

  • Lead Director means, at any given time, the lead, independent member (if any) elected as such by the Board and occupying such position.

  • Parent Board means the board of directors of Parent.

  • Nomination Committee means the nomination committee of the Board established in accordance with Article 116;

  • Managing Directors means Mrs Maria Chr. van der Sluijs-Plantz, Mrs Thérèse F.C. Wijnen and Mr Hubertus P.C. Mourits or such other person(s) who may be appointed as Managing Director(s) of the Issuer from time to time.

  • Directors means the directors for the time being of the Company.

  • Board Chair means the chair of the Board;

  • Board of Directors means the board of directors of the Company.

  • Board Committee means those individual Directors who have been appointed by the Board of Directors with the powers and responsibilities specified in Article V and to which has been delegated any fiduciary responsibilities of the Board of Directors with respect to the Plan.

  • Chairman of the Board means the Chairman of the Board of the Corporation.
