New UA Common Stock definition

New UA Common Stock means, in accordance with the terms of the Lock-Up Agreements, the 10,000,000 shares of Common Stock of New UA, issued pursuant to, and with rights and obligations as set forth in, the New Certificate of Incorporation of New UA.

  • On or as soon as reasonably practicable after the Effective Date, the following classes of rights and interests in New UA's equity shall be created: New UA Common Stock, New UA Convertible Preferred Stock, Equity Elector Warrants, and New UA Warrants.
