New Share Resolution definition

New Share Resolution means a resolution adopted by a general meeting of the shareholders of the Borrower approving sufficient authorized share capital and authorizing the Board of Directors of Borrower to allow return to the Lender of all Borrowed Shares.

  • Extraordinary Resolution has the meaning set forth in Section 7.11(1);

  • U.S. Special Resolution Regimes has the meaning specified in Section 11.21.

  • Authorizing Resolution means a resolution adopted by the Board of Directors or by an Officer or committee of Officers pursuant to Board delegation authorizing a Series of Securities.

  • General Meeting means the annual or any special general meeting of the Association.

  • EEA Resolution Authority means any public administrative authority or any person entrusted with public administrative authority of any EEA Member Country (including any delegee) having responsibility for the resolution of any EEA Financial Institution.
